Algae Foundation

“By-laws were updated by replacing the word corporation with the word foundation. The following sections now read: section 4.03 qualifications: at no time may a majority of directors then-serving also be directors of any other for-profit or non-profit entity. If a director of the foundation becomes a director of another entity and, as a result, a majority of the thenserving directors of the foundation would also be directors of such other entity, such director who became a director of the other entity shall be deemed to have automatically resigned as a director of the foundation effective as of the date and time such director becomes a director of the other entity. 4.04 election of directors. The initial directors named in the articles of incorporation will serve until their successors are duly elected and qualified, subject to this section 4.04 and section 4.05. Successor directors will be elected prior to the end of the applicable predecessor directors terms and assume office upon expiration of the applicable predecessor directors terms. One-half of initial directors will serve a term of two (2) years, and the remaining initial directors will serve a term of one (1) year so that the election of future directors will be staggered. The initial directors shall determine which directors will serve a term of one (1) year by unanimous consent, or, if unanimous consent cannot be obtained, by a form of lottery, the process by which shall be set forth in a resolution approved by a majority of the initial directors. Thereafter, directors shall be elected in the following manner during a meeting of the board occurring in january of each year: (a) seats occupied by current directors whose terms are expiring. Directors whose terms are not ending on january 31 in such calendar year (disinterested director(s)) may nominate directors for election to fill seats of directors whose terms are expiring on january 31. Such nominations may include the director(s) then serving and whose terms are expiring or any other person meeting the qualifications in section 4.03. The disinterested director(s) may appoint directors to fill such seats by resolution of the disinterested director(s). (b) vacant seats. If at such meeting there are vacancies, the board may fill such vacant seats in the manner set forth in section 4.18. 4.05 term of office. Unless a director dies, resigns, or is removed, or is designated as an initial director who will only serve one (1) year pursuant to section 4.04, he or she shall hold office for a term of two (2) years. All terms are measured from february 1 such that terms expire on january 31, except in the case of an increase in the number of board seats pursuant to section 4.18, where the term of the initial director appointed to fill a vacancy as a result may start on a day other than february 1 but must end on january 31 pursuant to section 4.18. Directors may serve for successive terms, subject to any restrictions or limitations adopted by resolution of the board regarding the number of consecutive terms a director may serve. 4.17 removal. A director may be removed by vote of two-thirds (2/3) of the directorsthen composing the board. 4.18 vacancies. Vacancies occurring in the board or any directorship by reason of resignation of a director pursuant to section 4.16, removal of a director pursuant to section 4.17, death, or an increase in the authorized number of directors, whether by resolution of the board or amendment of these bylaws to increase the board maximum, shall be filled by the affirmative vote of a majority of the remaining directors, even though less than a quorum of the board is present due to the vacancy. A director appointed to fill a vacancy created by reason of an increase in the authorized number of directors shall hold office for a term to be determined by resolution of the board; provided, however, in no event shall such director hold office for a term greater than that permitted by section 4.05, and suc”

To accomplish its mission, the algae foundation engages in and funds educational outreach, research, development, and other activities; finds and supports the development of future leaders of the algae industry through scholarships, grants and other financial and organizational support; and facilitates communication among private, academic and public sector leaders, and the public generally, to increase broader literacy and awareness of the benefits of algae biomass cultivation and commercialization.”

“Jobs. Through algal education students learn practical applications of farming and biotechnology to produce a sustainable resource while developing the skills for the next generation of algal-based jobs. The two degree programs were supported through the development of six online courses supported by intensive, hands on, place bound, laboratory exercises. Atec through its many subcommittees are developing the online classes, laboratory exercises, laboratory and lecture text materials. Atec recruited 18 national leaders in algal education, cultivation, biotechnology, commercialization, and new product development who collectively have more than 200 years of algal-based experience. The atec team members include professionals from the following organizations: algae foundation, algae biomass organization, cal-cab, university of california, san diego, national renewable energy lab, university of texas, austin, arizona state university, university of southern maine, santa fe community college, austin community college, rutgers university extension, solano community college, harmon consulting, global algae, qualitas health, dsm, cyanotech, and lynn-benton community college. Our atec team members are dedicated, to all matters dealing with algal education,and have dedicated themselves to the development of community college education and algal-based aquaculture extension learning modules. The two lead organizations for the algal farming and biotechnology degrees are santa fe community college (nm) and austin community college (tx), respectively. The degree programs were initiated for the farming degree in september, 2016 and the first graduates are completing their degrees in may 2018. Each graudate has either received a scholarship to attend university of new mexico or new mexico state university or have landed a great, high paying job. And the biotechnology curriculum began to be offered at austin community college in september 2017 as a series of two week lecture/laboratory modules in four introductory and advanced biotechnology courses. Additionally, algae have been included as a target organism in the austin cc intro to biotechnology course. Atec has recruited national commercial leaders from algal farming and biotechnology companies to serve on the atec industrial advisory board. The advisory board is assisting with the establishment of work and skill standards to align the program to efficiently serve as a bioeconomy workforce development program. This year atec was able to recruit the largest algae companies in the usa to the industrial advisory board. Cyanotech of hawaii and dsm of maryland have joined the iab. Additionally, bren smith,ceo of greenwave, a kelp farming company have joined the iab.”
