Form 990, Part VI, Section B, Line 12C

Annually key employees are required to read and acknowledge that they have read the conflicts of interest policy. If a conflict of interest is disclosed, that person is excluded from any decision-making regarding the person or contract that might present a conflict of interest. For example, if two employees are married, we ensure they do not report to each other, nor do they have any control over the salary or performance evaluation of the other. If an employee has a personal relationship with a potential vendor, we follow a formal process to evaluate multiple potential vendors, and a team of people assess the relative merits of the vendors, and a contract is awarded based on this determination. The employee with the potential conflict of interest is excluded from any discussion or decision-making about the decision to contract with the potential vendor.

Steps in the salary determination process: without the ceo present, the board held an executive session to review the 2017 performance of the ceo. It was decided that the ceo had exceeded expectations and to align the salary increase closely with the organization-wide policy. Board consensus on the performance review (including salary) was confirmed via email once final documents were complete. The ceo was not part of that email. The board chair discussed the performance review (including salary) with the ceo on behalf of the board. The ceo also took cfo's role in 2016.

The organization discontinued its formal, financial partnership with greatschools.org in 2017. Previously, we had jointly secured a major grant, in which all funds came to innovate and a portion were passed through to greatschools.org. When the grant ended, the formal financial relationship ceased.

The organization's federal returns for the years ended december 31, 2015 and beyond remain subject to possible examination by the internal revenue service, generally for 3 years after they are filed.
