“The organization amended the articles or organization as follows: -the corporation's bylaws may be amended by the affirmative vote of for- fifths (4/5) of the members of the board of directors present and voting at any meeting of the board, provided that notice of the substance of the proposed amendment is given in the notice of that meeting. Such notice must be given at least two (2) weeks prior to the meeting. The organization amended the by-laws as follows: - a quorum is the lesser of 50 or 10% of the members in good standing and entitled to vote. -members can vote in person or by proxy. -board of directors may have up to 13 but no less than 7 members (directors) and directors will serve two-year terms with a max of three consecutive terms. Members can nominate themselves for the board, and the board can choose to nominate candidates. Each candidate is required to gather at least 10 signatures from members of progressive massachusetts willing to show support of the candidate to become a board member.”
