“The board of directors and officers have a business relationship with each other as all are employees of lhc group. The board of directors consist of employees of lhc group and the purpose fund. Only three members of the board of directors of lhc group are officers or directors of lhc group. The board of directors and officers do not have a controlling interest (as defined by the instructions or regulations) in lhc group. Lhc group is a publicly traded company.”

“The purpose fund is organized on a non-stock basis. The purpose fund has voting members, each of which are also a director of the purpose fund. Membership in the purpose fund terminates upon death, voluntary resignation by the member, or ceasing to be a member of the board of directors.”

“All of the corporate powers are vested in and the business and affairs of the purpose fund are managed by board of directors. All of the board of directors are members of the purpose fund. The directors are elected by the affirmative vote of a majority of the members.”

“The purpose fund board members are given a copy of the return to review before filing. Any changes requested by the board members are then updated. After the return has been updated, the board members are then able to review the return for any additional changes. Once there are no objects to how the return is presented the return is then filed.”

“Periodic reviews shall, at a minimum, include the following subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; and whether partnerships, join ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in excess benefit transaction.”
