Governance Explanations

Form 990, Part VI, Section B, Line 11

Form 990 was provided to board of directors with reviewed financial statements for their review.

Form 990, Part VI, Section B, Line 12C

The board of directors requires an annual declaration from all board members and senior management as to the existence and disclosure of any potential conflicts of interest. The board members sign a disclosure statement. Any potential conflicts are discussed by the dis-interested board members, while the party in potential conflict is required to leave the room. Board meeting minutes will document the discussion and decision making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair market value will be established.

Form 990, Part VI, Section B, Line 15A

The organization's executive compensation program is administered by the board of directors. The board is responsible for establishing and maintaining a competitive compensation program for the key executives and key employees of the organization. The board meets as needed to review the compensation program and make recommendations, as appropriate. A performance evaluation is conducted and reviewed on an annual basis and is intended to ensure that the compensation program falls within a reasonable range of competitive practices for comparable positions among similarly situated organizations.

IRS990/Desc0THE NOVEMBER ELECTIONS PROVIDED AN OPPORTUNITY FOR ARTS LEADERS TO INJECT ARTS AND CULTURE INTO THE DISCUSSIONS AROUND THE RACES FOR STATE SENATE AND STATE REPRESENTATIVE. WHEN ARTS CHAMPION DAN WOLF OF HARWICH DECIDED NOT TO RUN FOR REELECTION TO THE STATE SENATE, JULIE WAKE, EXECUTIVE DIRECTOR OF THE ARTS FOUNDATION OF CAPE COD, COORDINATED A CAMPAIGN WITH THE ARTS COMMUNITY ON THE CAPE AND ISLANDS TO MAKE SURE THAT WOLF'S SUCCESSOR WOULD SUPPORT ARTS AND CULTURE JUST AS VIGOROUSLY. WORKING WITH MASSCREATIVE'S NONPARTISAN CREATE THE VOTE PROGRAM, WAKE AND FELLOW LEADERSHIP COUNCIL MEMBERS LAUREN WOLK, ASSOCIATE DIRECTOR OF THE CULTURAL CENTER OF CAPE COD AND DAVID KUEHN, EXECUTIVE DIRECTOR OF THE COTUIT CENTER FOR THE ARTS DRAFTED A QUESTIONNAIRE FOR CANDIDATES, HELD MEETINGS WITH CANDIDATES TO DISCUSS ARTS PLATFORMS, AND SPONSORED AN HOUR- LONG DEBATE TO FOCUS CANDIDATES AND VOTERS ON ARTS AND CULTURAL POLICY.MASSCREATIVE'S REGIONAL TRAININGS GIVE ARTS LEADERS AND SUPPORTERS THE SKILLS TO SHARE THEIR STORIES WITH CITY, STATE AND NATIONAL LEADERS TO BUILD SUPPORT FOR THE ARTS. MASSCREATIVE RAN 12 REGIONAL TRAININGS WITH THE LEADERSHIP COUNCIL ACROSS MASSACHUSETTS FOR MORE THAN 300 ARTS LEADERS AND SUPPORTERS. IN THESE SESSIONS, MASSCREATIVE MAPPED OUT STRATEGIC APPROACHES TO EDUCATION AND OUTREACH; HOW TO TELL POWERFUL STORIES; AND HOW TO EMPLOY SOCIAL MEDIA TO GET THE WORD OUT.A NETWORK OF TEACHING ARTISTS AND ARTS EDUCATORS PROVIDE STUDENTS WITH SKILLS AND INNOVATIVE AND CREATIVE THINKING THEY NEED TO BE GREAT STUDENTS AND EXCEL. WHEN MASSACHUSETTS, IN ACCORDANCE WITH A NEW FEDERAL LAW, REWROTE THE STANDARDS USED TO DETERMINE WHETHER A SCHOOL WAS SUCCESSFUL, MASSCREATIVE ENGAGED A NETWORK OF EDUCATORS ACROSS THE STATE TO PARTICIPATE IN PUBLIC MEETINGS AND MAKE THE CASE THAT ACCESS TO ARTS EDUCATION WAS A PART OF THE NEW FORMULA FOR SUCCESS. WHEN A DRAFT OF THE NEW STANDARDS WAS RELEASED, ACCESS TO ARTS EDUCATION WAS INCLUDED IN THE MIX.MASSCREATIVE'S 13,000+ PERSON SOCIAL MEDIA NETWORK PROVIDES A VEHICLE TO EDUCATE AND MOBILIZE THE COMMUNITY AT THE DROP OF THE HAT. ON OCTOBER 28, OUR NETWORK DID JUST THAT WHEN THEY BROADCASTED ACROSS MULTIPLE PLATFORMS THAT "ARTS MATTER." MASSCREATIVE'S THIRD ANNUAL ARTS MATTER DAY ENGAGED MORE THAN 640 CULTURAL ORGANIZATIONS IN AN ONLINE DISCUSSION TO SHOW THE IMPACT THAT ARTS AND CULTURE HAVE ON OUR COMMUNITY. PARTICIPANTS EXCHANGED MORE THAN 3,300 TWEETS, FACEBOOK POSTS, AND INSTAGRAM POSTS DURING THE DAY.MASSCREATIVE'S NIMBLE AND PASSIONATE MEMBERSHIP CAN RESPOND TO LOCAL ISSUES, ENCOURAGING POLITICAL LEADERS TO SUPPORT THE ARTS IN THEIR TOWN AND CITY. WHEN BOSTON UNIVERSITY DECIDED IN APRIL TO SELL THE BUILDING THAT HOUSED THE HUNTINGTON THEATRE, LEADERS OF THE BOSTON ARTS COMMUNITY LAUNCHED THE #KEEPTHEHUNTINGTONONHUNTINGTON CAMPAIGN. WORKING IN COLLABORATION WITH ARTSBOSTON, STAGESOURCE, AND THE FENWAY ALLIANCE, MASSCREATIVE HELPED BUILD A BROAD BASE OF SUPPORT THAT BACKED THE THEATER AND CITY OFFICIALS IN THEIR WORK TO KEEP NEW ENGLAND'S LARGEST THEATRE AT ITS HOME ON HUNTINGTON AVENUE.
