Mission

Code.org is a non-profit dedicated to expanding access to computer science, and increasing participation by women and underrepresented students of color. Our vision is that every student in every school should have the opportunity to learn computer science. We believe computer science should be part of core curriculum, alongside other courses such as biology, chemistry or algebra.

To expand participation in computer science education and increasing participation by women and underrepresented minorities.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm and is initially reviewed by the code.org cfo and controller. Prior to filing, the form 990 is presented to the governing board members for review, questions and comments. Once all board members have reviewed and had all questions answered, it will be signed by the ceo and filed.

Form 990, Part VI, Section B, Line 12C

All board members are asked annually to complete and sign a conflict of interest form. Potential conflicts are noted, reviewed and discussed by the appointed conflicts committee to determine if a conflict of interest exists and if so, how to address it. Where a conflict of interest does exist, the matter is disclosed to the board, and the board member with the conflict is recused from the pertinent discussion, transaction, and/or voting.

Form 990, Part VI, Section B, Line 15

Employee compensation is determined based on market research, experience and comparable positions. Subsequent compensation adjustments are at the discretion of code.org's leadership team and are determined by evaluating the needs of the organization for retention, promotion, and exemplary performance. Organizational leadership reviews each employee's compensation on a semi-annual basis to ensure that it is fair and equitable, and in line with both the greater employment market, as well as organization peers in similar positions. For leadership team members, compensation is reviewed privately through discussion by the ceo, cfo, people operations manager, and the board of directors compensation committee. Last compensation review was in october 2018. Mr. Partovi, the president and ceo of code.org, receives only nontaxable benefits for his full time efforts to the organization. His benefits are reviewed using the same procedures as all other employees.
