“The organization is composed of members who pay annual membership fees to belong to the organization. Membership benefits include: Access to DirectTrust.org deliverables and intellectual property, as well as participation in DirectTrust.org workgroups; up to date information about the continually evolving regulatory environment; opportunities to influence and shape the developing Trust Framework; insight into the work being done by your colleagues in the community; and discounted access to DirectTrust.org products, most notably the accreditation process currently under development.”

“The organization's bylaws stipulate that new Board members must be nominated by the Nominating Commmittee. The members of the organization then vote on the new members at the Annual Meeting. In between Annual Meetings, the Board may appoint new members if there is a vacancy.”

“A draft of the Form 990 is provided to the Board of Directors prior to submission for approval.”

“The organization conducts a general education session regarding the conflict of interest policy with new Board members once a year. Each year each Board member must sign a conflict of interest form, and also notify the Board if there are any changes in status that might create a conflict of interest.”

“The Board Chairman and the other Officers of the organization, forming an Executive Committee, determine the compensation to pay the President and CEO to manage the organization. They present their recommendations to the full Board of Directors who discuss their recommendations and make the final decision as to executive management compensation.”
