The executive director and finance director review the 990 in detail. After the review, the 990 is provided to each board member. The executive director and finance officer present the 990 to the board of directors at the meeting prior to its filing. The 990 will not be filed until each board member has been given a copy of it and ample time to review it.

All board members and employees must complete a conflict of interest form on a minimum of an annual basis. New hires and new board members receive a copy of the conflict of interest policy and a conflict of interest form to complete. Annually, all employees and board members receive a copy of the conflict of interest policy and form to be completed and returned. The conflict of interest form must be completed and returned when a potential conflict arises throughout the year. Conflict of interest forms containing potential conflicts of interest that are noted will be forwarded to the corporate compliance officer (director of hr). The corporate compliance officer reviews and brings potential conflict of interests to the corporate compliance committee for review and possible approval. (the corporate compliance committee is comprised of the leadership staff of dakotabilities). Employees/board members are notified if possible conflicts of interest exist. As mentioned, conflict of interest forms are reviewed as they are submitted. Any person who has a conflict of interest is expected to make adjustments/changes to be in compliance with our conflict of interest policy. If the individual does not comply with the conflict of interest policy, disciplinary action may be taken.

The process for determining compensation for the top management official is done as follows: through compensation surveys for similar positions in the industry; consultant contacted when initial compensation range was established. Hiring salaries depend on related experience and education. Performance reviews/evaluations determine annual salary increase. Board of directors (or their subgroup - president & vice-president) conduct evaluation and merit increase and provide approval. The process for determining compensation for the finance director is done as follows: through compensation surveys for similar positions in the industry. Financial Statement Notes

PART IV, LINE 2B:

The organization holds, as a trustee, the social security income and general checking funds for individuals that it serves.

PART V, LINE 4:

A particular fund of the sioux falls area community foundation (sfacf) distributes up to 5% of the 12-quarter trailing average balance of the endowment to dakotabilities each year. These distributions are subject to the sfacf's power to "modify or remove any restriction or condition on the fulfillment, or inconsistent with the charitable needs of the communities served." the organization uses the funds received from the endowment to promote its internal fundraising function. The endowment is 100% permanently restricted.

PART X, LINE 2:

Dakotabilities is organized as a nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction under sections 170(b)(1)(a)(vi), and has been determined not to be a private foundation under section 509(a)(1). The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The organization has determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990-t) with the irs. The organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
