At such meetings, the secretary reminds each of the board members of the principles of the coi policy. If a conflict of interest arises, the interested person discloses all material facts to the directors/members of the committees and recuses him/herself while the committee makes a determination of the conflict of interest. If the committee determines that the interested person has created a conflict of interest, it takes appropriate disciplinary and corrective action.
