“The board of directors of the corporation shall consist of not less than five (5) nor more than nine (9) directors. All directors will be appointed by the president of the university of arizona, with input from the dean of the eller college of management and the ua vice president for outreach. The board of directors shall be made up of two (2) categories of directors, as follows: * two to three (2-3) directors, but not more than 49% of the board, shall be appointed by the university of arizona president from employees of the university of arizona and shall serve as "university directors; * three to six (3-6) directors shall be appointed by the university of arizona president from the business, public sector, and/or non-profit executive and management community ("community directors").”

Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms that 1) such person has received a copy of the conflicts of interest policy 2) has read and understands the policy 3) has agreed to comply with the policy and 4) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.”

“Eller executive education (eee) advances the missions of the eller college of management and university of arizona through non-credit, non-degree programs for business, government, and non-profit leaders. Through collaboration with local, regional, and international organizations, eee helps organizations solve their leadership challenges. Eee contracts with organizations to deliver customized programs. Some programs also enroll individual participants to fill out classes. Eee offers a variety of leadership development programs to business, non-profit, and public sector organizations. Foundational leadership programs focus on topics such as leading teams, change management, ethics, managerial accounting and finance, leadership communication, negotiations, and conflict management. Eee is also pioneering the development of integrative leadership programs that seamlessly blend leadership development with health and wellness discovery. Other branded specialty programs include information management and security, social media markets and marketing, and strategic innovation management. Given that these programs are customized and unlike any typical university courses, eee is able to fill an education market that is not otherwise effectively addressed by the university of arizona. In the process, eee advances university goals in outreach, workforce development, and faculty development. During its eighth year of operations, eee delivered 10 different custom programs and 7 open enrollment programs. 33 ua faculty (27 from eller) were involved in delivering these programs. The programs ranged from half day sessions to week long programs to monthly programs that span a year or more.”

EEE OFFERS A VARIETY OF LEADERSHIP DEVELOPMENT PROGRAMS TO BUSINESS, NON-PROFIT, AND PUBLIC SECTOR ORGANIZATIONS. FOUNDATIONAL LEADERSHIP PROGRAMS FOCUS ON TOPICS SUCH AS LEADING TEAMS, CHANGE MANAGEMENT, ETHICS, MANAGERIAL ACCOUNTING AND FINANCE, LEADERSHIP COMMUNICATION, NEGOTIATIONS, AND CONFLICT MANAGEMENT. EEE IS ALSO PIONEERING THE DEVELOPMENT OF INTEGRATIVE LEADERSHIP PROGRAMS THAT SEAMLESSLY BLEND LEADERSHIP DEVELOPMENT WITH HEALTH AND WELLNESS DISCOVERY. OTHER BRANDED SPECIALTY PROGRAMS INCLUDE INFORMATION MANAGEMENT AND SECURITY, SOCIAL MEDIA MARKETS AND MARKETING, AND STRATEGIC INNOVATION MANAGEMENT. GIVEN THAT THESE PROGRAMS ARE CUSTOMIZED AND UNLIKE ANY TYPICAL UNIVERSITY COURSES, EEE IS ABLE TO FILL AN EDUCATION MARKET THAT IS NOT OTHERWISE EFFECTIVELY ADDRESSED BY THE UNIVERSITY OF ARIZONA. IN THE PROCESS, EEE ADVANCES UNIVERSITY GOALS IN OUTREACH, WORKFORCE DEVELOPMENT, AND FACULTY DEVELOPMENT.
