The board of directors of the corporation shall consist of not less than five (5) nor more than nine (9) directors. All directors will be appointed by the president of the university of arizona, with input from the dean of the eller college of management and the ua vice president for outreach. The board of directors shall be made up of two (2) categories of directors, as follows: * two to three (2-3) directors, but not more than 49% of the board, shall be appointed by the university of arizona president from employees of the university of arizona and shall serve as "university directors; * three to six (3-6) directors shall be appointed by the university of arizona president from the business, public sector, and/or non-profit executive and management community ("community directors").

The organization's conflict of interest policy covers directors, officers and members of committees with board delegated powers. All covered persons have the duty to disclose any actual or possible conflicts of interest, and disinterested persons will determine if an actual conflict exists. The board will have to decide if the organization can obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If this is not possible, the board shall determine by majority vote of the disinterested members whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. If the board has reasonable cause to believe that an interested person has failed to disclose actual or possible conflicts of interest, it shall inform the interested person of the basis for such belief and afford the interested person an opportunity to explain the alleged failure to disclose. If the board determines that that interested person had failed to disclose an actual or possible conflict of interest, it shall take the appropriate disciplinary and corrective action. Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms that 1) such person has received a copy of the conflicts of interest policy 2) has read and understands the policy 3) has agreed to comply with the policy and 4) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

The board of directors established a compensation committee to develop a compensation policy for management, officers of the organization, and for faculty developing and teaching in programs, and the policy was approved by the board. The goal of the compensation committee is to establish compensation systems and rates that are equitable with peer business school executive education programs, incentivizing innovation, fairness, clarity and transparency. The dean and vice dean of the eller college review eee and recommend adjustments to base component pay of eee officers paid through the ua.

Financial Statement Notes

PART X, LINE 2:

Fin 48 (asc 740) footnote from financial statements: the organization is exempt from income taxes under both federal (internal revenue code section 501(c)(3)) and arizona income tax laws, and is classified as other than a private foundation. Accordingly, no provision for federal and state income taxes is made. Income from certain activities not directly related to the organization's tax-exempt purpose, however, may be subject to taxation as unrelated business taxable income (ubti). Gaap requires management to perform an evaluation of all tax positions taken or expected to be taken in the course of preparing the organization's tax returns to determine whether the tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. This evaluation is required to be performed for all open tax years, as defined by the various statutes of limitations, for federal and state purposes. The organization is only subject to income taxes on ubti as applicable. As a result, the organization is required to file informational returns for federal and state purposes and, if it has ubti, federal and state income tax returns. Management has performed its evaluation of tax positions taken on all open tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard. From time to time, the organization may be subject to penalties and interest assessed by various taxing authorities, which are classified as management and general expenses, if they occur.
