The form 990 is prepared by an outside cpa firm. Upon its initial completion, it is provided to the chairman for review and comments. Once approved, the form 990 is prepared for signature and filing. Each board member receives a copy for their review before the board chair signs and files the return.

Form 990, Page 6, Part VI, Line 12C

Directors are required to sign a statement disclosing any conflicts of interest when they begin their term of office and annually. They also must sign that they have received a copy of the conflict of interest policy and will abide by the policy. The policy covers interested persons which is defined as any director, principal officer, or member of a committee with governing board delegated powers who has a direct or indirect financial interest. An interested person is required to disclose the existance of a conflict to the board. After disclosed, the interested person shall leave the meeting while the determination of a conflict is voted upon by remaining board members. If needed, a committee shall be appointed to investigate alternatives to the proposed transaction. If a more advantageous transaction is not reasonably possible so as to not produce a conflict of interest, the governing board shall determine by a majority vote whether the transaction is in the organization's best interest, for its own benefit, and whether it is fair and reasonable before it is entered into. If the governing board has reason to believe a member has failed to disclose an actual or possible conflict, they are given an opportunity to explain. If it is determined the disclosure was not made, appropriate disciplinary and corrective action will be taken.
