Governance Explanations

Form 990, Part VI, Section B, Line 11B

Our accounting firm forwarded the form 990 to the executive director. The executive director reviewed the return and forwarded the form 990 to the board members prior to filing. The executive director or the accounting firm addressed the questions board members had before submitting the form 990 to the irs.

Form 990, Part VI, Section B, Line 12C

The organization's bylaws outline the procedure for monitoring and addressing conflicts of interest. If a conflict of interest arises, board members will bring it to the attention of the board and the procedures in the bylaws will be followed. Board members are provided with a copy of the bylaws and informed of the conflict of interest policy when they join the board and they will bring up any potential conflicts of interest as they arise.

Form 990, Part VI, Section B, Line 15A

Compensation review & approval process - ceo & top management: compensation was compared to other similar organizations and positions, the board discussed the salary amount, reached consensus, and voted electronically to approve. The organization did not have any other officers or key employees during the year.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are kept in a binder in the office for any visitor who wishes to see it. These documents are available for the same period of time set forth in sec. 6104(d).

Additional Explanations

Form 990, Part III, Line 3

Scholarmatch's work has shifted in numerous ways due to the pandemic. Destination college: as an organization with two drop-in centers as well as a robust virtually based program, we have pivoted all of our in-person work to the virtual realm. Because we already had a thriving virtual college coaching program for high school students this transition was quite successful. In the coming year, this movement towards accessible, online offerings will continue moving forward with operating the program virtually and matching all students with college coaches. Students who previously could not reach our centers due to transportation, after school jobs or childcare responsibilities now have easy access to the support they deserve and are matched with a caring, knowledgeable mentor to give them one-on-one attention. Prior to the pandemic, much of our work serving college students was already done virtually. Scholarmatch college advisors connected regularly with the students on their caseload through phone, email, text, and video chat throughout the school year, and have continued to offer this support. In 2019-20, we offered the following virtual events: (1) welcome to the family: a welcome event and orientation for incoming freshmen; (2) winter career conference: a career event hosted during winter break for non-freshmen; (3) scholar success summit: a career event in the summer for non-freshmen; (4) winter gathering: an event for freshmen taking place over winter break; (5) additional workshops: during this time, we also added four career workshops for seniors, and in response to student needs, a workshop on mental health & racial trauma.

Financial Statement Notes
