TOM GARFINKEL, NAT MOORE AND MARCUS BACH-ARMAS are the sole members of the organization. The organization's by-laws grant the Members with the right to elect directors, the power to adopt and amend by-laws, and the right to vote on certain amendments to the organization's articles of incorporation.

The foundation provides a copy of form 990 to the directors prior to its filing. The directors have the opportunity to review it and make comments. There is not a formal procedure in place for this procedure.
