Governance Explanations

Form 990, Part VI, Section A, Line 6

The corporation shall have one class of members. Any person dedicated to the purposes of the corporation shall be eligible for membership on approval of the membership application by the board and on timely payment of such dues and fees as the board may fix from time to time. The board may establish honorary membership to any individual who has rendered distinguished service to the corporation or the pursuit of balanced wine. Such members shall not be assessed or required to pay dues or assessments and shall have no vote.

Members (other than honorary members) shall cast their votes for directors on november 30 (and every november 30th thereafter), or such other date as the board shall set. The three director nominees (or four or five, as determined by the board) who receive the largest number of votes shall be elected as directors.
