Governance Explanations

Form 990, Part VI, Section A, Line 2

The organization's Treasurer is the spouse of the Executive Director. Both individuals were selected based on qualifications, experience, and capacity to contribute to the organization's mission. The relationship is fully disclosed to the Board of Directors, and both individuals recuse themselves from any discussions or decisions related to the Executive Director's compensation or performance evaluation.

Form 990, Part VI, Section B, Line 11B

A complete copy of Form 990 was provided to all members of the governing body prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization monitors and enforces compliance with its conflict of interest policy by requiring annual written conflict disclosure forms from all officers, directors, and key personnel. Board members are required to update disclosures if new potential conflicts arise. Any disclosed conflicts are reviewed by the Board Chair, and affected individuals recuse themselves from related discussions and decisions. Conflicts and recusals are documented in board meeting minutes.

Form 990, Part VI, Section B, Line 15

The Board of Directors establishes the compensation of the Executive Director using a process that includes review and approval by independent board members, comparison to compensation data from similarly sized nonprofit organizations, and contemporaneous documentation of the deliberation and decision-making process in the board minutes. Compensation for other officers and key employees, including the Treasurer and program leadership roles, is set using a similar process and reviewed periodically for fairness and market alignment. The Executive Director's compensation was most recently reviewed in 2023, and compensation for other officers and key employees was last reviewed in 2023.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. In addition, the Form 990 is posted on the organization's website, and copies of the governing documents and financial statements are available by contacting the organization by email or mail at its principal address.

Additional Explanations

Form 990, Header, Line B

The organization is filing an amended Form 990 to correct the timing of revenue reported for several grants. After a year-end financial review, the organization determined that certain grant amounts were originally reported in the incorrect year because the grants include conditional or time-based provisions affecting when revenue should be recognized. The amended return adjusts the revenue to reflect the proper timing under applicable accounting rules and IRS Form 990 instructions. Several minor corrections related to timing differences (each under $500) were also made. These changes affect only the financial sections of the return and do not impact program activities, governance, or public charity status.

Through our fiscal partnership with Oakland based, Reclaiming Our Own Transcendence (RooT), we provided Transformative Justice workshops to educators and community organizers with skills to address racial and gender-based harm through non-punitive models for community accountability and care; graduated 4 cohorts of the Healing Cycles of Harm program for survivors and enablers of interpersonal and systemic violence; and supported over 130 survivors of trauma and violence at the 5th annual People's Healing Conference & Clinic.

IRS990/ProgSrvcAccomActy2Grp/Desc0Healing Hub Nepal: In 2023, our fiscally sponsored program, Healing Together Nepal, trained 611 educators, activists, and community leaders from 246 partner organizations to become "Healing Activists" who support over 83,000 youth and adult survivors of trauma and violence through peer-based mental health care. Training partners included schools as well as community organizations supporting women's economic empowerment and LGBTQIA community members. Training participants have since reported using the skills to heal themselves, support survivors in their families and communities, prevent suicide, and end corporal punishment. The team continues to host courageous conversations to shift cultural norms and stigma around cycles of violence and mental health through social media and YouTube channel / podcast, while also training Healing Advocates through the first ever online mental health certification training in Nepal.

IRS990/ProgSrvcAccomActy3Grp/Desc0Healing Hub Uganda: In 2023, our fiscally sponsored program, Healing Together Uganda, provided trauma-informed care training to 1,010 educators, activists, and community leaders from 274 organizations. These new "Healing Advocates" support over 100,000 survivors of trauma and violence. The training partners included schools and community organizations working to empower women and girls and combat sexual and gender based violence. Training participants have since reported using the skills to heal themselves, support children survivors of trauma, help women and girls heal from gendered violence, leave abusive relationships, prevent suicide, and end corporal punishment practices in schools. The team is launched a monthly radio show in Western Uganda which educates listeners about the impact of trauma, offers practices for caring for oneself and others, invites listeners to share stories and ask questions, and breaks mental health stigma. The show has a reach of over 5 million Ugandans.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0The organization is filing an amended Form 990 to correct the timing of revenue reported for several grants.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The organization's Treasurer is the spouse of the Executive Director. Both individuals were selected based on qualifications, experience, and capacity to contribute to the organization's mission. The relationship is fully disclosed to the Board of Directors, and both individuals recuse themselves from any discussions or decisions related to the Executive Director's compensation or performance evaluation.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2A complete copy of Form 990 was provided to all members of the governing body prior to filing.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3The organization monitors and enforces compliance with its conflict of interest policy by requiring annual written conflict disclosure forms from all officers, directors, and key personnel. Board members are required to update disclosures if new potential conflicts arise. Any disclosed conflicts are reviewed by the Board Chair, and affected individuals recuse themselves from related discussions and decisions. Conflicts and recusals are documented in board meeting minutes.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4The Board of Directors establishes the compensation of the Executive Director using a process that includes review and approval by independent board members, comparison to compensation data from similarly sized nonprofit organizations, and contemporaneous documentation of the deliberation and decision-making process in the board minutes. Compensation for other officers and key employees, including the Treasurer and program leadership roles, is set using a similar process and reviewed periodically for fairness and market alignment. The Executive Director's compensation was most recently reviewed in 2023, and compensation for other officers and key employees was last reviewed in 2023.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request. In addition, the Form 990 is posted on the organization's website, and copies of the governing documents and financial statements are available by contacting the organization by email or mail at its principal address.
