Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and provided to the board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of the committee with governing board delegated powers annually signs a statement which affirms such person has received a copy of the conflict of interest policy, read and understands the policy, agreed to comply with the policy, and understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Form 990, Part VI, Section B, Line 15

Organization reserves the right to pay reasonable compensation to its executives in compliance with code section 4958. When compensating disqualified persons, the foundation will adhere to the definition of reasonable compensation as set forth under section 53.4958-4(b)(1)(ii) of the treasury regulations. That section provides that reasonable compensation is the amount that would ordinarily be paid for like services by like enterprises, whether taxable or tax-exempt, under like circumstances. Furthermore, any compensation the foundation pays to a disqualified person will be approved in advance by the foundation's board of directors pursuant to the procedures for establishing a rebuttable presumption of reasonableness under code section 4958 (and supporting treasury regulations). In other words, it will be approved in advance by an independent group of board members, it will be based on appropriate comparability data, and it will be adequately documented. The board will use the rebuttable presumption of reasonableness under code section 4958 also to ensure that compensation does not constitute private inurement. A director or officer shall receive a salary for his or her services as determined by the board of directors except that the director or officer who is to receive this salary may not vote in determining the salary to be received.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income tax under section 501(c)(3) of united states internal revenue code and similar provisions under california state law. Generally accepted accounting principles prescribe a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. It requires that an organization recognize in the financial statements the impact of the tax position if that position will more likely than not be sustained on audit, based on the technical merits of the position. As of and for the year ended december 31, 2023, the organization had no unrecognized tax benefits, tax penalties, or interest. The organization is subject to potential income tax audits on open tax years by any taxing jurisdiction in which it operates. The statute of limitations for federal purposes is three years and for california is four years.
