Governance Explanations

Form 990, Part VI, Section B, Line 11B

The federal form 990 is prepared by marcum llp, an independent accounting firm. The draft version of the federal form 990 is reviewed by all members of us ignite's governing body before filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer, and member of a committee with governing board delegated powers, as well as the employees, shall annually sign a statement which affirms such person: - has received a copy of the conflict of interest policy, - has read and understands the policy, - has agreed to comply with the policy, and - understands us ignite is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure us ignite operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews are conducted.

Form 990, Part VI, Section B, Line 15

Us ignite's board of directors has reviewed and approved the annual budget as well as the compensation information for us ignite staff. Independent members of the board of directors nominated an audit and finance committee that reviewed this information during 2017 to benchmark it against similar organizations. Us ignite engaged an independent analyst during 2018 to review and provide an updated compensation study report. The finance committee was aware of the draft results of the compensation study in late 2018, but it did not formally vote to accept the final compensation study report until april 2019.

Form 990, Part VI, Section C, Line 19

Us ignite makes its governing documents, conflict of interest policy and financial statements available to the public upon request.
