The form 990 is reviewed by the ceo and financial controller after it is prepared by the independent accountant. The form 990 is then sent to the board of directors for comment and approval prior to submission.

Form 990, Part VI, Section B, Line 12C

We have a conflict of interest (cois) statement, self-reporting section of our contributor survey, and a line in our contributor contract about disclosing cois. New staff members have to sign and date to acknowledge the receipt of our employment policies which has a section on mongabay's coi policies for staff. Because we are a journalism organization, we are continuously talking about cois on our staff calls, and making sure our contracts and info are up to date to avoid cois. The policy covers any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest. To ensure the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews are conducted. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. Appropriate action will be taken if a conflict of interest is found to exist. The minutes of the governing board and all committees with board delegated powers shall contain a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board's or committee's decision as to whether a conflict of interest in fact existed. It will also contain b. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.

Form 990, Part VI, Section B, Line 15

The process for determining compensation is as follows: the non-profit shall appoint a compensation committee annually in order to evaluate the president & ceo on his or her performance, and ask for his or her input on matters of performance and compensation board approval. The compensation committee will obtain research and information to make a recommendation to the full board for the compensation (salary and benefits) of the president & ceo (and other highly compensated employees) based on a review of comparable data. The compensation committee will review data that documents compensation levels and benefits for similarly qualified individuals in comparable positions at similar organizations. This data may include the following: 1. Salary and benefit compensation studies by independent sources, 2. Written job offers for positions at similar organizations, 3. Documented telephone calls about similar positions at both non-profit and for-profit organizations, and 4. Information obtained from the irs form 990 filings of similar organizations. Concurrent documentation to approve the compensation for the president & ceo(and other highly compensated employees) the board shall document how it reached its decisions, including the data on which it relied, in minutes of the meeting during which the compensation was approved. Documentation will include: a) a description of the compensation and benefits and the date it was approved, b) the members of the board who were present during the discussion about compensation and benefits, and the results of the vote, c) a description of the comparability data reviewed including how it was obtained, and d) any actions taken with respect to consideration of the compensation by anyone who is otherwise a member of the board, but who had a conflict of interest with respect to the decision on the compensation and benefits independence in setting compensation. The chair of the board of directors, who is a volunteer and not compensated by the non-profit, will operate independently without undue influence from the president & ceo. No member of the executive or human resources committee will be a staff member, the relative of a staff member, or have any relationship with staff that could present an conflict of interest. This process was last completed in 2024.

PART V, LINE 4:

Mongabay established our first-ever endowment to fund the substantive development of a formal capacity-building program: a fellowship for journalists in low and middle-income biodiversity hotspots. Beyond creating a pipeline of potential future contributors and staffers for mongabay, we believe the fellowship program will improve journalistic coverage of biodiversity, climate, and other environmental issues in the countries that need this reporting most. We had 21 fellows and interns participate in our formal capacity-building programs in 2024. We engaged hundreds more journalists via a series of training webinars on specific topics and lectures at universities ranging from the university of california at berkeley to u.c. Santa cruz.

It has been classified as an organization that is not a private foundation under the internal revenue code and charitable contributions by donors are tax deductible. IN ALL, FELLOWS PRODUCED 33 STORIES IN ENGLISH THROUGHOUT THE YEAR, AND THREE OF THOSE ARTICLES WERE COLLABORATIVE REPORTS EXAMINING COMMON ISSUES SHARED ACROSS REGIONS. SEVERAL FELLOWS HAVE GONE ON TO WIN ADDITIONAL FELLOWSHIPS, INTERNATIONAL AWARDS AND JOBS AT PRESTIGIOUS OUTLETS IN THEIR HOME COUNTRIES. OUR SPANISH-LANGUAGE PROGRAM COMPLETED ITS THIRD COHORT OF FELLOWS WITH JOURNALISTS FROM ECUADOR, BOLIVIA AND HONDURAS, AND WELCOMED THE FOURTH COHORT. MONGABAY AFRICA LAUNCHED ITS FRENCH-LANGUAGE FELLOWSHIP. WE RECEIVED AROUND 500 APPLICATIONS FOR THE NEW PROGRAM, FROM WHICH 12 FELLOWS WERE SELECTED AND TRAINED IN THE SAHEL AND CONGO BASIN ACROSS TWO COHORTS. THE FELLOWS PRODUCED 37 ARTICLES AND THREE SHORT-FORM VIDEOS.

WE ENGAGED HUNDREDS MORE JOURNALISTS VIA A SERIES OF TRAINING WEBINARS ON SPECIFIC TOPICS AND LECTURES AT UNIVERSITIES RANGING FROM THE UNIVERSITY OF CALIFORNIA AT BERKELEY TO U.C. SANTA CRUZ.
