“in 2021 element 11 delegated several board responsibilities to an outside service provider as follows. the services were provided under paid contract by Felix DeSiena. Felix had previously served on the element 11 board as Treasurer. Felix provided services as follows: all responsibilities traditionally provided by Board Treasurer, and select responsibilities traditionally provided by Board General Manager, Chairperson, and Secretary. all services were conducted under the regular weekly supervision of the current Board Chair and GM. see pt IV of attached Schedule L.”

“governing documents are reviewed annually and minor corrections are made as directed by the Board. all changes are noted within the appropriate board documents. all current document revisions are made available to the public as described above on the first item on this page.”

“annual financial records are audited with the assistance of the board. the completed 990 & all attached documents are submitted to the board asyncrounously via Slack for formal review, changes, and approval prior to submission to the IRS.”

“all board members sign contracts of engagement that specifically prohibit such conflicts. additional policies and procedures detail conflict definitions, oversight, reporting procedures, and resolution procedures. the executive committee (consisting of senior board members) monitors and resolves any potential conflicts as they arise.”

“compensation for ED/CEO was determined by a comprehensive search of salary information based on our organization size, age, budget, region, and similar relevant information. this information was reviewed and approved by the Board. the position was posted publicly via relevant state nonprofit employment site, and public interviews were held prior to choosing a candidate and final pay scale.”

“all governing documents, conflict of interest policy, similar policies and procedures, and related documents are made available to the public year-round via various methods. many documents are posted to the public on our website www.element11.org. many documents are promoted and provided to the public via regular community outreach, regular email lists, and social media. and all documents are available upon request. requests can be given in person at our community events, or via email, phone, social media, or other means convenient to the public. annual reports such as the Afterburn report, or our 990 require substantial work to complete. these documents are made available to the public as soon as they are complete. these documents are available to the public on our website, and via request similar to those methods stated above.”
