Data for the preparation of form 990 is provided to our tax firm. The form 990 draft is reviewed internally by management for accuracy of detail prior to board review during a board meeting. Once approved by the board, the tax firm signs the form 990 and electronically files with the irs. The entire board receives a copy of the filed form 990.

Api's annual disclosure questionnaire is provided to each employee, board member, and volunteer/intern, to complete. Completed questionnaires are analyzed for potential conflicts of interest. Reportable transactions are reported in form 990.

Compensation packages of the organization's officers is determined through a process that includes review and approval by independent board members. Comparable data from similar organizations is used to assess the initial compensation levels and performance reviews are used to evaluate changes. The decisions made by the organization are documented in meeting minutes/personnel files. The initial compensation package for the president/ceo was compiled by an executive search firm, with the board approving the recommendations.

Form 990, Part III, Line 2

In 2017, api began year 1 of 3 year appalachian regional council (arc) grant. Api then created the subsidiary appalachian growth capital (agc) which is designed to become a community development financial institution (cdfi), a special type of lending institution designed to support small businesses. Agc will work with banks and revolving loan funds as an additional or alternate funding sources for small business projects in ohio's appalachian-designated counties.

In 2017, changes in the state and federal reimburesment mechanisms, that supported the manufacturing extension partnership (mep) field staff to work with clients, made it impossible for api to continue to serve in this role. Therefore api decided to cease conducting mep program services effective september 30, 2017.

The partnership is exempt from income tax under section 501(c)(3) of the internal revenue code, and therefore, is not subject to income tax on its mission related activities. The partnership does not engage in unrelated business activity and therefore does not incur any income tax. The partnership has adopted the provisions of the financial accounting standards board (fasb) accounting standards codification (asc) relating to uncertain tax positions. The partnership does not believe its financial statements include any uncertain tax positions.

AS PART OF THIS STRATEGY AGC CONNECTED COMPANIES THAT MIGHT QUALIFY FOR COMMERCIAL BANK FINANCING WITH AN APPROPRIATE BANK. (THE MAJORITY DID NOT HAVE A FUNCTIONAL BANKING RELATIONSHIP.) AGC NETWORKED COMPANIES THAT COULD NOT QUALIFY FOR BANK FINANCING OR THAT HAD NEEDS THAT COMMERCIAL BANKS COULD NOT MEET INTO SECONDARY REGIONAL/NATIONAL LENDERS OR INTO OTHER CDFI LENDERS. AGC'S OWN LENDING PROGRAMS WILL BEGIN LENDING TO MEET THESE NEEDS IN 2018 WHEN SUFFICIENT CAPITAL HAS BEEN ACCUMULATED.DURING THE YEAR, AGC PROVIDED INTENSIVE CLIENT SUPPORT TO 22 BUSINESSES. OUTCOMES OF AGC'S CLIENT SUPPORT SERVICES INCLUDED 4 BUSINESSES THAT WERE NETWORKED INTO A COMMERCIAL BANKING RELATIONSHIP WITH THE FOLLOWING RESULTS (AT THE TIME THE COMMERCIAL BANK APPROVAL): $4MM IN FINANCING APPROVED; 36 JOBS RETAINED; 27 NEW JOBS CREATED. AT YEAR END, 11 BUSINESSES REMAINED IN PIPELINE OF SERVICES RECEIVING ADVISING, NETWORKING OR FINANCING.
