Draft is reviewed by Deputy Director, who submits questions and concerns to paid preparer. Upon resolution of questions and concerns, updated draft is reviewed by Executive Director, who forwards any additional questions and concerns to paid preparer. Final draft is then sent to Board for approval.

Found in Translation's conflict of interest policy applies to any director, officer, member of a committee of the board of directors or key employee who has a direct or indirect Private Interest (as defined in policy) in a proposed transaction or arrangement involving the corporation. In connection with any actual or possible conflict of interest, an Interested Person must disclose the existence of her or his Private Interest in a proposed transaction or arrangement to the Board. After disclosure of the Private Interest and the material facts to the Board or Committee, members shall discuss and vote upon the question of whether a conflict of interest exists. At the request of the chairperson of the Board or Committee, or upon a majority vote of the Board or Committee members (excluding the Interested Person), the Interested Person shall leave the Board or Committee meeting during such discussion and/or vote. A majority vote of the Board or Committee members (excluding the Interested Person) shall be required to determine that a conflict of interest exists or could reasonably be construed to exist. If the Board or Committee has reasonable cause to believe that an Interested Person has failed to disclose an actual or possible conflict of interest, it shall inform the Interested Person of the basis for such belief and afford the Interested Person an opportunity to explain the alleged failure to disclose. If, after hearing the response of the Interested Person and making such further investigation as may be warranted under the circumstances, the Board or Committee determines that the Interested Person has, in fact, failed to disclose an actual or possible conflict of interest, it may, at its discretion, take appropriate corrective or disciplinary action.

Financial Statement Notes

Part X, Line 2:

The Organization is a nonprofit corporation exempt from federal income taxes under Section 501(c)(3) of the U.S. Internal Revenue Code (Code) whereby only unrelated business income, as defined by Section 512(a)(l) of the Code, is subject to federal income tax. The Organization currently evaluates all tax positions, and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax positions made by the Organization are the nonexistence of Unrelated Business Income Tax and the Organization's status as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. For the years presented, the Organization has not recognized any tax benefits or loss contingencies for uncertain tax positions based on this evaluation.

The Organization currently evaluates all tax positions, and makes a determination regarding the likelihood of those positions being upheld under review. The primary tax positions made by the Organization are the nonexistence of Unrelated Business Income Tax and the Organization's status as a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code. For the years presented, the Organization has not recognized any tax benefits or loss contingencies for uncertain tax positions based on this evaluation.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2Found in Translation's conflict of interest policy applies to any director, officer, member of a committee of the board of directors or key employee who has a direct or indirect Private Interest (as defined in policy) in a proposed transaction or arrangement involving the corporation. In connection with any actual or possible conflict of interest, an Interested Person must disclose the existence of her or his Private Interest in a proposed transaction or arrangement to the Board. After disclosure of the Private Interest and the material facts to the Board or Committee, members shall discuss and vote upon the question of whether a conflict of interest exists. At the request of the chairperson of the Board or Committee, or upon a majority vote of the Board or Committee members (excluding the Interested Person), the Interested Person shall leave the Board or Committee meeting during such discussion and/or vote. A majority vote of the Board or Committee members (excluding the Interested Person) shall be required to determine that a conflict of interest exists or could reasonably be construed to exist. If the Board or Committee has reasonable cause to believe that an Interested Person has failed to disclose an actual or possible conflict of interest, it shall inform the Interested Person of the basis for such belief and afford the Interested Person an opportunity to explain the alleged failure to disclose. If, after hearing the response of the Interested Person and making such further investigation as may be warranted under the circumstances, the Board or Committee determines that the Interested Person has, in fact, failed to disclose an actual or possible conflict of interest, it may, at its discretion, take appropriate corrective or disciplinary action.
