Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization does not have "members" by definition of the bylaws of the organization; however, the form 990 instructions also define "member" as any person (including corporations) who have the right to participate in the organization's governance, including electing members of the governing body. As such, celef has one sole member with the right to elect members of the governing body, citizen engagement lab, a california nonprofit public benefit corporation.

Form 990, Part VI, Section A, Line 7A

Directors of cel education fund are designated by citizen engagement laboratory (cel), a california nonprofit public benefit corporation described by section 501(c)(4) of the internal revenue code, provided that not more than 49% of the persons serving on the cel education fund board of directors at any one time may be concurrently serving as officers, directors, or employees of cel.

Form 990, Part VI, Section A, Line 7B

The bylaws of cel education fund may be amended or repealed by the approval of a majority of the board of directors; however, any such amendment or repeal is effective only if approved in writing in advance by cel.

Form 990, Part VI, Section A, Line 8B

The governing body does not have separate committees. As such, part vi, section a, line 8b has been answered "no".

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an outside accounting firm based off information submitted by the organization's accounting and finance department. The form is then reviewed by the organization's cfo and executive director prior to submission to the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Every board member is required to complete and sign the conflict of interest declaration annually. On the declaration they disclose whether they or any member of their immediate family have affiliations or interests which, when considered in conjunction with their position with or relation to celef, might constitute or be perceived as a conflict of interest. Each director must abstain from both deliberation and voting on any decision in which a conflict of interest might provide material financial benefit to that director or a member of their immediate family. Further, at the beginning of each board meeting, the chair or meeting facilitator will ask if any director has a conflict of interest to declare regarding any item on the meeting agenda. If such conflict is declared, and rises to the level of material financial benefit, the director will then abstain from both deliberation and voting on that item. Further, if, during the meeting a director becomes aware of a conflict or potential conflict with an item on the agenda, and that item rises to the level of material financial benefit, the director must then declare the conflict or potential conflict and recuse themselves from both deliberation and voting on that item. Finally, if a board member is uncertain whether they have a conflict or whether the conflict rises to the level of material financial benefit, the chair of the board is empowered to make that determination.

Form 990, Part VI, Section B, Line 15

Comparable compensation data is submitted to the board and approved by a majority of disinterested directors. Contemporaneous documentation and record keeping of the deliberations and decisions regarding the compensation arrangement is made. There have been no adjustments to the salary rates established for the executive director, officers, or other key employees since these were last established by the board of directors in 2016.

Form 990, Part VI, Section C, Line 19

The governing documents and financial statements are made available upon request. The conflict of interest policy is not made available to the public.

Financial Statement Notes

PART X, LINE 2:

The organization assesses its accounting for uncertainties in income taxes recognized in its consolidated financial statements and prescribes a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in the tax returns. There was no material impact on the organization's consolidated financial statements as a result of assessing these uncertainties.

IRS990/Desc0CEL EDUCATION FUND IS PLANNING TO MERGE WITH ITS FISCALLY SPONSORED, CULTURESTRIKE TO LAUNCH AS THE CENTER FOR CULTURAL POWER. AS SUCH CEL EDUCATION FUND DBA THE CENTER FOR CULTURAL POWER IS AN ARTIST-OF-COLOR-LED ORGANIZATION BUILDING THE INFRASTRUCTURE AND CULTURAL ASSETS TO SUPPORT ARTISTS AND STORYTELLERS FOR SOCIAL CHANGE. WE ACTIVATE AUTHENTIC NARRATIVES AND AMPLIFY STORIES THAT SHIFT CULTURE AND PUSH FOR STRUCTURAL CHANGE. OUR WORK RESIDES AT THE INTERSECTIONS OF MIGRATION, CLIMATE CHAOS, AND GENDER, RACIAL AND CULTURAL JUSTICE. OUR PRIMARY STRATEGY IS TO INVEST DIRECTLY IN ARTISTS AND WORK IN PARTNERSHIP WITH DIRECTLY IMPACTED COMMUNITIES. WE FOCUS OUR WORK ON THE FOLLOWING AREAS:(1) INCUBATE A NETWORK OF ARTISTS: A DEEP AND SUSTAINED INVESTMENT IS REQUIRED TO SUPPORT ARTISTS AND STORYTELLERS WHO MAY NOT HAVE HAD ACCESS TO ART SCHOOL, FILM SCHOOL, WRITING PROGRAMS OR OTHER TRADITIONAL PATHWAYS INTO THE CULTURAL SECTOR. IN RETURN, THE ARTISTS WE INCUBATE INVEST THEIR CULTURAL CAPITAL AND TIME TO UPLIFT OTHER ARTISTS AND BUILD THE PROGRAMMATIC DEPTH OF THE CENTER. OUR INCUBATION STRATEGIES ARE CULTURALLY COMPETENT BECAUSE OF OUR TEAMS LIVED EXPERIENCE AS WORKING ARTISTS OF COLOR.(2) AMPLIFYING ARTISTS, ARTWORKS, AND IDEAS TO DISRUPT THE STATUS QUO: THE CENTER FOR CULTURAL POWER IS SCALING UP COMMUNICATIONS CAPACITY TO AMPLIFY ARTISTS AND WORK THAT CAN DISRUPT DOMINANT NARRATIVES AND MAKE THEM MORE COMPLEX AND REPRESENTATIVE OF VARIED VIEWPOINTS. OUR TRACK RECORD IN SOCIAL MEDIA RESIDES IN OUR ABILITY TO BRING EMERGENT ARTISTS TOGETHER WITH FRONT-LINE GROUPS(3) ORGANIZE ARTISTS TO TRANSFORM INEQUITABLE CULTURAL INSTITUTIONS: THE CENTER IS LEVERAGING OUR UNIQUE POSITION BETWEEN THE ART WORLD AND SOCIAL JUSTICE SECTOR TO HELP ARTISTS IN OUR NETWORK ORGANIZE THE INSTITUTIONS THAT MOST AFFECT THEM. WITH ORGANIZING TOOLS AND MOVEMENT PARTNERS, WE CAN DEMAND THAT CULTURAL INDUSTRIES BE MORE INCLUSIVE, EQUITABLE, AND MORE WELCOMING TO THE PLURALITY OF STORIES THAT MIRROR THE REALITIES OF OUR CURRENT AND FUTURE LANDSCAPE. FOR EXAMPLE, FOLLOWING #METOO, ACTORS IN TIMES UP ARE CALLING UPON THE CENTER TO TRAIN THEM IN ORGANIZING AND CAMPAIGNS FOR EQUITY IN THE ENTERTAINMENT SECTOR. WE TAKE A SYSTEMIC APPROACH RATHER THAN TINKERING AT THE EDGES, INCUBATING DISRUPTORS LIKE JILL SOLOWAY (5050 BY 2020) WHO AIMS TO BRING GENDER PARITY TO HOLLYWOOD DECISION MAKERS. THIS WILL HELP END ABUSE, BUT IT WILL ALSO OPEN DOORS TO A NEW GENERATION OF CREATIVES BRINGING A NEW WAVE OF STORYLINES TO MAINSTREAM CULTURE.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0THE ORGANIZATION DOES NOT HAVE "MEMBERS" BY DEFINITION OF THE BYLAWS OF THE ORGANIZATION; HOWEVER, THE FORM 990 INSTRUCTIONS ALSO DEFINE "MEMBER" AS ANY PERSON (INCLUDING CORPORATIONS) WHO HAVE THE RIGHT TO PARTICIPATE IN THE ORGANIZATION'S GOVERNANCE, INCLUDING ELECTING MEMBERS OF THE GOVERNING BODY. AS SUCH, CELEF HAS ONE SOLE MEMBER WITH THE RIGHT TO ELECT MEMBERS OF THE GOVERNING BODY, CITIZEN ENGAGEMENT LAB, A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1DIRECTORS OF CEL EDUCATION FUND ARE DESIGNATED BY CITIZEN ENGAGEMENT LABORATORY (CEL), A CALIFORNIA NONPROFIT PUBLIC BENEFIT CORPORATION DESCRIBED BY SECTION 501(C)(4) OF THE INTERNAL REVENUE CODE, PROVIDED THAT NOT MORE THAN 49% OF THE PERSONS SERVING ON THE CEL EDUCATION FUND BOARD OF DIRECTORS AT ANY ONE TIME MAY BE CONCURRENTLY SERVING AS OFFICERS, DIRECTORS, OR EMPLOYEES OF CEL.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE BYLAWS OF CEL EDUCATION FUND MAY BE AMENDED OR REPEALED BY THE APPROVAL OF A MAJORITY OF THE BOARD OF DIRECTORS; HOWEVER, ANY SUCH AMENDMENT OR REPEAL IS EFFECTIVE ONLY IF APPROVED IN WRITING IN ADVANCE BY CEL.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE GOVERNING BODY DOES NOT HAVE SEPARATE COMMITTEES. AS SUCH, PART VI, SECTION A, LINE 8B HAS BEEN ANSWERED "NO".
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE FORM 990 IS PREPARED BY AN OUTSIDE ACCOUNTING FIRM BASED OFF INFORMATION SUBMITTED BY THE ORGANIZATION'S ACCOUNTING AND FINANCE DEPARTMENT. THE FORM IS THEN REVIEWED BY THE ORGANIZATION'S CFO AND EXECUTIVE DIRECTOR PRIOR TO SUBMISSION TO THE INTERNAL REVENUE SERVICE.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5EVERY BOARD MEMBER IS REQUIRED TO COMPLETE AND SIGN THE CONFLICT OF INTEREST DECLARATION ANNUALLY.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6COMPARABLE COMPENSATION DATA IS SUBMITTED TO THE BOARD AND APPROVED BY A MAJORITY OF DISINTERESTED DIRECTORS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt7THE GOVERNING DOCUMENTS AND FINANCIAL STATEMENTS ARE MADE AVAILABLE UPON REQUEST. THE CONFLICT OF INTEREST POLICY IS NOT MADE AVAILABLE TO THE PUBLIC.
