Governance Explanations

Form 990, Part VI, Section A, line 7A

Directors of CEL Education Fund are designated by Citizen Engagement Laboratory (CEL), a California nonprofit public benefit corporation described by Section 501(c)(4) of the Internal Revenue Code, provided that not more than 49% of the persons serving on the CEL Education Fund Board of Directors at any one time may be concurrently serving as officers, directors, or employees of CEL.

Form 990, Part VI, Section A, line 7B

The Bylaws of CEL Education Fund may be amended or repealed by the approval of a majority of the Board of Directors; however, any such amendment or repeal is effective only if approved in writing in advance by CEL.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an outside accounting firm based off information submitted by the organization's accounting and finance department. The form is then reviewed by the organization's CFO and President. Prior to submission to the IRS, the completed Form 990 is emailed to all Directors for review and comment.

Form 990, Part VI, Section B, line 12C

Every board member is required to complete and sign the conflict of interest declaration annually. On the declaration they disclose whether they or any member of their immediate family have affiliations or interests which, when considered in conjunction with their position with or relation to celef, might constitute or be perceived as a conflict of interest. Each director must abstain from both deliberation and voting on any decision in which a conflict of interest might provide material financial benefit to that director or a member of their immediate family. Further, at the beginning of each board meeting, the chair or meeting facilitator will ask if any director has a conflict of interest to declare regarding any item on the meeting agenda. If such conflict is declared, and rises to the level of material financial benefit, the director will then abstain from both deliberation and voting on that item. Further, if, during the meeting a director becomes aware of a conflict or potential conflict with an item on the agenda, and that item rises to the level of material financial benefit, the director must then declare the conflict or potential conflict and recuse themselves from both deliberation and voting on that item. Finally, if a board member is uncertain whether they have a conflict or whether the conflict rises to the level of material financial benefit, the chair of the board is empowered to make that determination.

Form 990, Part VI, Section B, line 15

Comparable compensation data is submitted to the board and approved by a majority of disinterested directors. Contemporaneous documentation and recordkeeping of the deliberations and decisions regarding the compensation arrangement is made.

Form 990, Part VI, Section C, line 19

The governing documents and conflict of interest policy are made available upon request. The financial statements are not made available to the public.

Form 990, Part VII:

Ian Inaba termed as President of CEL Education Fund in May 2016; however, he provided support services to the organization as a paid employee through December 2016.

Supplemental Narrative

Additional Explanations

Part III, Line 4A:

CEL Education Fund supports Citizen Engagement Laboratory and other nonprofits that align wtih our mission by incubating high-impact, tech-savvy programs, and by making strategic, restricted grants. We focus our work on the following areas: (1) the Powerful Communities Program & Fiscal Sponsorship Program, which supports leaders who have the passion for making change, the knack for bringing people together in action, and the capacity for building effective organizations. Using a combination of coaching and direct services, we help them help their communities achieve near-term impact and build longstanding power. For projects with more focused needs, we offer several models of fiscal sponsorship, giving the funders the confidence they need to make early investments in ideas while providing a ladder of support to give leaders access to robust infrastructure support as their ideas and organizations take shape; (2) the Innovation Program, which recognizes the need to experiment an devolve our social change strategies. As a social change lab, CEL Education Fund's staff and project leads work to identify gaps in their fields, chart new courses, and build and test new tools and tatics; and (3) Collaboration - the groups CEL Education Fund works with recognize that most challenges their communities face are too big to fight alone. CEL Education Fund helps overcome these obstacles by bringing together groups from across the field to share information, identify best practices, test innovations, and work together to win campaigns that could never be won alone. Through collaboration, groups not only gain near-term allies and ideas, but also build long-lasting ties that help them engage more people in deeper ways.

Form 990, Part XI, line 9:

Refund of Prior Year Grants -2,675,000.

Financial Statement Notes

Part X, Line 2:

CELEF was incorporated under the laws of the State of California and granted tax-exempt status by the Internal Revenue Service under Section 501(c)(3) of the Internal Revenue Code and by the California Franchise Tax Board under Section 23701d of the Revenue and Taxation Code. Accordingly, no provision for income taxes has been included in these consolidated financial statements. CELEF assesses its accounting for uncertainties in income taxes recognized in its consolidated financial statements and prescribes a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in the tax returns. There was no material impact on CELEF's consolidated financial statements as a result of assessing these uncertainties.
