The onelegacy foundation was created to support the mission of onelegacy in raising funds and public awareness in support of organ and tissue donation research and education and providing healing to the families we serve.

Onelegacy is the sole member of the organization, elects directors and approves significant decisions made by the board of directors.

As defined in the sole member's bylaws, the regents of the university of california has one designated seat on the organization's board and the remainder are appointed by onelegacy, the sole member.

The sole member has the rights to approve certain actions by the board, including: approval of amendments to articles and bylaws; creation or dissolution of a committee of the board or an advisory committee; the appointment of committees of the board; and dissolution of the corporation and winding up of its business.

The board of directors' audit committee conducts the initial review and, after any inquiries are addressed and resolved, the board of directors conducts the final review and approves the form 990 prior to filing. The board of directors' human resources and compensation committee reviews and, after any inquiries are addressed and resolved, approves (only) the specific disclosure components for directors, officers and other highly compensated employees in the annual irs form 990, return of organization exempt from income tax prior to filing.

The organization monitors annually the compliance of their conflict of interest policies through various levels of review. Human resources monitors employee conflicts of interest, if any. The ceo and cfo monitor the board of directors and officer conflicts of interest, if any.

The filing organization did not pay any officers, directors or key employees directly. Compensation for the ceo, executive director, or top management official are determined and paid by a related organization. The board of directors; human resources and compensation committee (the committee), which is comprised of four independent members and the ceo (who recuses himself regarding the compensation) annually review compensation programs of the corporate officers. The committee, among other things,utilizes consultants and compensation benchmark sources and data, and,based on its own evaluation as well as input from the corporate governance committee, determines and recommends for approval to the board the total compensation of corporate officers. The committee keeps contemporaneous written minutes of all meetings, including all compensation decisions. The process was last done in february 2018.

PART X, LINE 2:

The organization accounts for uncertain tax positions in accordance with the provisions of fasb asc topic 740-10, "income taxes," which prescribes a recognition threshold of more likely than not and a measurement process for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. In making this assessment, the organization must determine whether it is more likely than not that a tax position will be sustained upon examination, based solely on the technical merits of the position, and must assume that the tax position will be examined by taxing authorities. Management has determined that all income tax positions are more likely than not of being sustained upon potential audit or examination; therefore, no disclosure of uncertain income tax positions are required. The organization's policy is to include interest and penalties related to unrecognized tax benefits in income tax expense. The organization files inofrmation returns with the internal revenue service ("irs") and the state of california.

IN MAKING THIS ASSESSMENT, THE ORGANIZATION MUST DETERMINE WHETHER IT IS MORE LIKELY THAN NOT THAT A TAX POSITION WILL BE SUSTAINED UPON EXAMINATION, BASED SOLELY ON THE TECHNICAL MERITS OF THE POSITION, AND MUST ASSUME THAT THE TAX POSITION WILL BE EXAMINED BY TAXING AUTHORITIES.
