Form 990, Part VI, Section A, line 7A

The powers of the Corporate Member include the provision to appoint the number of Directors, appoint the Board of Directors and to remove such Directors at any time with or without cause.

Form 990, Part VI, Section A, line 7B

The following powers are reserved exclusively to the Corporate Member: A) To adopt and amend the Articles of Incorporation and the Bylaws of the Foundation after consultation with the Foundation's Board of Directors. B) To approve the merger, consolidation, or affiliation of the Foundation with another corporation, organization or program, or the dissolution of the Foundation. C) To approve any strategic plan of the Foundation. D) To approve the annual fundraising plan including special events, annual, capital and planned giving activities. E) To approve the acceptance of any gift that carries conditions or limitations or any gift restricted to services, programs or facilities not currently offered or approved to be offered by the Corporate Member's Board of Directors. F) To develop and implement investment policies and/or guidelines that will be used by the Foundation in determining appropriate investments.

The Form 990 is prepared internally by experienced staff and reviewed by the internal Director of Taxes and external tax advisors. The Foundation Director reviewed the Form 990 in detail. Once approved, an electronic copy of the Form 990 is emailed to the Board prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Providence Health & Services maintains a conflict of interest policy that applies to board members and management of all Providence-related organizations. The purpose of the policy is to guide and direct those serving the Providence Health & Services' corporations and other legal entities so they can (1) fulfill their fiduciary responsibilities and exercise stewardship in ways that promote and protect the best interests of Providence and, (2) avoid situations that create a conflict, or the appearance of a conflict, between the interests of an individual associated with Providence and Providence. On an annual basis, each board member and management level employee must complete and submit an updated conflict of interest statement. Conflict of interest disclosures are reviewed by the System Integrity Department working in conjunction with the Department of Legal Affairs. If it is determined that an actual conflict exists, appropriate follow-up action is taken with the individual to rectify the conflict.

Form 990, Part VI, Section B, line 15

It is Providence's intention to make financial information accessible and transparent. Although the filing of Form 990 provides insight into how Providence achieves its Mission, delivers its programs and stewards its finances, deciphering the information directly from Form 990 can be challenging. The following paragraphs provide further information about the process we use to determine compensation for top management, officers and key employees. Providence has a single fiduciary Board, with responsibility for financial oversight associated with fulfillment of the Providence Mission, developing system policies, protecting the assets entrusted to the organization and overseeing the strategic and operational affairs of Providence's legal entities. Providence also maintains a network of community ministry boards with responsibility for quality of care oversight, community relations, advocacy and community needs assessments. Providence has a consistent compensation philosophy for all of its employees, including our senior executives. Salaries for senior executives are determined by the Providence Board's Human Resources Committee and approved by the full Board of Directors, none of whom is a Providence employee. The Board retains an independent consultant each year to review salaries of those in the most significant leadership roles in the organization. Part of the consultant's role is to review an extensive array of compensation surveys of large, not-for-profit health care systems in the United States. Providence is one of the larger health systems in the country, and as such, the Board benchmarks executive compensation against other large, not-for-profit health systems whose revenue is similar to that of Providence. Base salaries for Providence executives are set at the median level of the market, as identified by the independent consultant and reviewed with the Human Resources Committee. Performance incentives allow executives to earn additional compensation if they achieve specific organizational and individual goals for furthering Providence operating principles - advancing the Providence Mission and core values, meeting benchmarks for charity care, achieving quality targets, delivering top-rated customer satisfaction, meeting employee satisfaction goals and reaching financial performance objectives. The Board of Directors conducts a thorough process to ensure performance incentives are aligned with appropriate practices for not-for-profit health care systems. The Board's process for executive compensation fully complies with IRS standards and mirrors the best practices recommended in the "Report to Congress and the Nonprofit Sector on Governance, Transparency, and Accountability" submitted to the Senate Finance Committee by the Panel on the Nonprofit Sector. The Foundation Executive Director is compensated by a related organization which uses a market based compensation program utilizing several independent third party compensation market surveys to establish pay ranges for the position. The related organization then establishes the individual rate of pay within the range based on relevant experience, skills and competencies. The rate offered to the Executive Director at the time of hire was determined through discussion between the Regional CEO, Regional Director of HR and the Administrative Director of HR. The ranges and rate of pay are reviewed on an annual basis by Regional HR.

IRS990/Desc0The Foundation provided funding for the building of St. Mary Medical Center's new Intensive Care Unit. The new ICU incorporates the latest in technology and architectural design, and is a significant advancement in care for people who are seriously ill, injured or have had major surgery. The design places the nurses at small work stations immediately outside patient rooms, instead of clustered at nurses' stations. This allows the nurses to remain closer to their patients. It offers in-room pull-out couches for families to stay with their loved ones comfortably. Patients will no longer have to move to other rooms as their condition changes. The patients remain in place and the level of care will change around them.Other features include:Large, private rooms of 287-square-feet each.The ability to perform dialysis in every room.Lifts in every room to help lift patients up to 550 pounds. Two of the lifts can accommodate patients up to 1,000 pounds.More space for families to rest, be with their loved ones, and speak privately with physicians and other staff.Private bathrooms with wheelchair accessible showers in every room.Secured access for improved safety for patients, visitors and staff.

IRS990/ProgSrvcAccomActy2Grp/Desc0The Providence St. Mary Regional Cancer Center was the first center in the Southeast Washington region devoted exclusively to cancer treatment, and it continues to be a leader in the field. The Regional Cancer Center is approved with commendation by the American College of Surgeons (ACoS) Commission on Cancer - a distinction bestowed upon the best cancer programs in the United States. We use a team approach to the treatment. Your team of specialists and other professionals will address your cancer with the most effective options available, and tailor treatment to your needs and preferences. Treatment may include surgery, chemotherapy, immunotherapy, radiation therapy or any combination of these, depending on the type and extent of the cancer. We also participate in clinical research trials, giving you access, if you wish, to the very latest in cancer treatment.We believe that cancer is a journey that we undertake with you as partners in your care, offering the latest treatments with support and caring. We understand that this is a trying time for you and your family. We are committed to every aspect of your care, from treatment to your emotional and physical well-being.Funds raised by Providence St. Mary Foundation supported the various needs and programs of the Cancer Center and its patients in 2013. This supported includes funding for support group and social services, medical devices, wigs and garments for cancer patients, and financial assistance (such as payments for rent, utilities, transportation and food and gas cards) to patients facing hardships. In 2013 we provided such assistance to over 1,000 low-income patients in our community who receive cancer care services at St. Mary.

IRS990/ProgSrvcAccomActy3Grp/Desc0In 2013, the Foundation provided funding for various program needs of St. Mary Medical Center and its patients. This funding provided for two infant car seats beds for two different families who couldn't afford the cost of safely transporting their new-born children home, a facilitated cancer support group for Hispanic women, a speaking scale for a cardiac care patient with poor vision, and transportation for a patient to St. Mary Medical Center. Glidescope was purchased for the ICU in 2013. This device will dramatically increase our care-giver's ability to intubate critically ill patients faster, safer, and in a more comfortable manner for the patient. 14 new infusion chairs were purchased for the St. Mary Regional Cancer Center by the Foundation. These chairs improve the safety of our patients getting their chemotherapy treatment. Also, since these chairs are heated, the patient experience is improved and made more comfortable while the patient sits for long periods of time getting infusion treatment.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0The St. Mary Breast Center is designated a Breast Imaging Center of Excellence by the American College of Radiology (ACR) and recognized for achieving high practice standards in image quality, personnel qualifications, equipment, quality control procedures, and quality assurance programs. The Breast Center provides a variety of services for its patients, including: breast-health consultations with a nurse coordinator, diagnostic tests including computer-assisted MRIs, ultrasounds and biopsy procedures, support groups, educational resources, and financial assistance for mammograms for uninsured/low-income women. In 2013, donations to St. Mary Foundation provided for supplies and garments for Breast Center patients as well as over 147 free mammograms for women who couldn't otherwise afford this life-saving screening.
IRS990/ProgSrvcAccomActyOtherGrp/Desc1In 2013, the Foundation continued raising funds and providing support for the maintenance and care of the gardens located on the campus of the Providence St. Mary Medical Center. These gardens are available to both patients and visitors and provide them with a serene atmosphere in which to pray for direction, gather thoughts, and nurture hope. One garden includes a lawn, a woodland amble, a cherry grove, a pond, a Japanese Walk, and a dining terrace. Another garden is dedicated to the families and patients of the St. Mary Regional Cancer Center and the St. Mary Breast Center. Funding provided by the Foundation helped pay for the maintenance of the gardens and the purchase of bricks named in honor of St. Mary patients and their families.
