“An accounting firm prepares and reviews the 990. The 990 is then reviewed by the organization's officers. Any questions or concerns the organization's officers have are addressed and any corrections or clarifications that need to be made are made. A copy of the 990 is provided to the board prior to filing.”

AFTER EXERCISING DUE DILIGENCE, THE GOVERNING BOARD OR COMMITTEE SHALL DETERMINE WHETHER THE ORGANIZATION CAN OBTAIN WITH REASONABLE EFFORTS A MORE ADVANTAGEOUS TRANSACTION OR ARRANGEMENT THAT DOES NOT GIVE RISE TO CONFLICT. IF A MORE ADVANTAGEOUS TRANSACTION OR ARRANGEMENT IS NOT REASONABLY POSSIBLE, THE GOVERNING BOARD OR COMMITEE SHALL DETERMINE BY A MAJORITY VOTE OF THE DISINTERESTED DIRECTORS WHETHER THE TRANSACTION OR ARRANGEMENT IS IN THE ORGANIZATION'S BEST INTEREST.”

“The Bonus and Compensation Committee made up of independent members of the board of directors of Operation BBQ Relief used information generally available to it, including but not limited to, their own research and the 2019 GuideStar Nonprofit Compensation Report, 19th edition, September 2019 data as a guide in reviewing employee compensation to ensure it is reasonable and that no excess benefits are paid. The bonus and compensation committee approves the compensation of the CEO and officers. The last review was completed in 2020.”
