Form 990, Part VI, Section B, Line 12C

Board members are required to sign the policy annually, and reminded quarterly to revisit the policy to ensure compliance. An executive session of the board of directors makes the determination of conflicts of interest, as well as reviews actual conflicts determined by the governing body. When a conflict of interest is present, the board member is prohibited from participating in any votes related to the conflict or prohibited from any votes altogether, which may require the director to resign from the board. The request for a board member resignation would also be determined by the board of directors in an executive session.
