The organization has a services agreement with aultman health foundation (ahf). Ahf provides financial, systems & technology and administrative services to the organization. Ahf also leases employees to the organization to provide these services to the organization.

Form 990, Part VI, Section A, Line 6

The members of the organization are the hospitals and health care systems participating in the health care sourcing. Each member is bound by the terms and conditions set forth in the governing documents of the organization.

Form 990, Part VI, Section A, Line 7A

Each member shall elect one director at the annual meeting of membership.

Form 990, Part VI, Section A, Line 7B

The code of regulations may be amended by the affirmative vote of two-thirds the members present at any meeting thereof at which a quorum exists.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by an independent cpa firm based on information provided by aultman health foundation's finance department. Ahf's finance department carefully reviewed and analyzed the tax return. The department reconciles the general ledger amounts to the appropriate schedules on the form 990 and compares those amounts to the internal financial statements. In addition, the finance department does a comparative analysis to the prior year return. The analysis and reconciliation schedules, along with a complete copy of the 990, are provided to the chief financial officer for review and approval. A complete copy of the 990 is then made available to the board of directors through a secured internet portal prior to the filing date.

Form 990, Part VI, Section B, Line 12C

The directors and officers of ihn are required to disclose to the board any actual or potential conflict of interest that could possibly cause that person to act in other than the best interest of ihn. If a director or officer of ihn believes a conflict of interest exists, he or she is required to disclose the conflict to the board. He or she will then abstain from any vote regarding the conflict. If the board has reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
