Governance Explanations

Form 990, Part VI, Section A, Line 2

George and patricia vradenburg have a family relationship.

Form 990, Part VI, Section B, Line 11

The form 990 was prepared by the outside accountants and reviewed by one of the directors and the chief operating officer. A copy of the form 990 was provided to the organization's governing body before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers annually signs a statement which affirms that each he/she: a. Has received a copy of the conflicts of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands that the organization is a non-profit public benefit corporation and, in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she leaves the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members decide if a conflict of interest exists.

Form 990, Part VI, Section B, Line 15A

In prior years, sally sachar provided services as coo through practical strategy, llc, an independent contractor. At the beginning of the year, she became a full-time employee. The compensation for the coo was determined by the board using comparability data. The board reviews the compensation at its quarterly meetings and documents the decisions in the organization's board minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Form 990, Part VII, Line 1

Usagainstalzheimer's network (usaan) and usagainstalzheimer's (usaa) have entered into a cost-sharing arrangement under which usaa reimburses usaan for usaa's allocable share of the compensation of certain employees for services provided to usaa. Compensation reimbursed by usaa is not additive to the compensation reported for these shared employees by usaan. Usaan and usaa are not "related organizations" as that term is defined in the form 990 glossary. Pursuant to their agreement, usaa reimbursed usaan for its share of compensation as follows: sally sacher (officer) $32,501

FORM 990, PART III, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

Industry and the scientific community in the quest for an alzheimer's cure - accomplishing this through effective leadership, collaborative advocacy, and strategic investments. Founded in 2011, usagainstalzheimer's network has worked across sectors to: (1) secure the national goal of preventing and effectively treating alzheimer's by 2025 and help secure nearly $500 million in additional public funding for alzheimer's research over the past few years; (2) drive global efforts that resulted in the leaders of the world's most powerful nations, the g7 group, to embrace a similar 2025 goal and to call for greater levels of research investment and collaboration; and (3) forge industry commitments to improve efficiencies for an expedited drug discovery and approval process. Usagainstalzheimer's theory of change is rooted in the strong belief that we, the american people, can create the national will to prevent and treat alzheimer's by pressuring our political, business and civic leaders to devote the necessary resources to outcomes-oriented research and to reform the drug development systems that currently slow the development and availability of promising treatments. We call this "leadership for the cure. And it works.

IRS990/Desc0SINCE OUR FOUNDING USAGAINSTALZHEIMER'S NETWORK HAS WORKED ACROSS SECTORS TO ACCOMPLISH MANY MILESTONE SUCCESSES, INCLUDING:- SECURING THE NATIONAL GOAL OF PREVENTING AND EFFECTIVELY TREATING ALZHEIMER'S BY 2025 THROUGH THE NATIONAL ALZHEIMER'S PLAN.- DRAMATICALLY INCREASING GOVERNMENT INVESTMENT IN ALZHEIMER'S RESEARCH IN THE U.S. (AND PROMPTING THE U.K., CANADA AND JAPAN TO FOLLOW WITH THEIR OWN INVESTMENTS). USAGAINSTALZHEIMER'S PLAYED A KEY ROLE IN THE RECENT $360M INCREASE IN ALZHEIMER'S FUNDING APPROVED BY CONGRESS FOR FY 2016. THE INCREASE BROUGHT THE TOTAL NIH INVESTMENT TO APPROXIMATELY $936 MILLION PER YEAR, A SIGNIFICANT IMPROVEMENT IN THE PATH TOWARD OUR GOAL OF RESEARCH FUNDING EQUAL TO ONE PERCENT OF CARE COSTS, WHICH HAVE RISEN TO $226 BILLION A YEAR. THROUGH A SMART, EFFICIENT ALLOCATION OF RESOURCES, OUR RELATIVELY SMALL DIRECT INVESTMENT OF $17 MILLION (SINCE 2010) HAS HELPED GENERATE MORE THAN A CUMULATIVE $1 BILLION INCREASE IN U.S. FEDERAL ALZHEIMER'S RESEARCH FUNDING SINCE 2011 (THROUGH NIH AND THE DEPARTMENT OF DEFENSE). WE ESTIMATE THE INCREASED ALZHEIMER'S FUNDING FROM FY 2011-2016 IS SUPPORTING MORE THAN 1,000 RESEARCH GRANTS.- DRIVING GLOBAL EFFORTS THAT RESULTED IN THE LEADERS OF THE WORLD'S MOST POWERFUL NATIONS, THE G7, EMBRACING A SIMILAR 2025 GOAL AND CALLING FOR GREATER LEVELS OF INVESTMENT AND COLLABORATION. OUR CHAIRMAN, GEORGE VRADENBURG, SERVES AS A MEMBER OF THE US ADVISORY COUNCIL ON ALZHEIMER'S AND TO THE WORLD DEMENTIA COUNCIL. - RAISING PUBLIC AWARENESS THROUGH MAJOR NEWS MEDIA, INCLUDING NBC'S "TODAY" SHOW, THE NEW YORK TIMES, WALL STREET JOURNAL, USA TODAY, BLOOMBERG BUSINESS WEEK, FORBES, CHICAGO TRIBUNE, WASHINGTON POST, NEWSDAY, REUTERS, AGENCE FRANCE-PRESSE, WOMEN'S HEALTH, ROLL CALL, HUFFINGTON POST, WASHINGTON LIFE AND POLITICO.- FORGING COLLABORATIONS TO IMPROVE EFFICIENCIES FOR EXPEDITED DRUG DISCOVERY AND SPEEDING UP THE APPROVAL PROCESSES. THROUGH THE DESIGN OF A PATIENT-POWERED RESEARCH NETWORK, WHAT WE HAVE NAMED "GALAXY," WE ARE CREATING A VIRTUAL, RESEARCH-READY HUB OF CITIZEN SCIENTISTS, FAMILIES, PATIENTS AND CAREGIVERS WHOSE COLLECTIVE VOICE WILL, WE HOPE, ACCELERATE ALZHEIMER'S THERAPIES AND PREVENTIONS. WHILE WE ARE LEADING THIS WORK, WE ARE PARTNERING WITH MAYO CLINIC, UNIVERSITY OF CALIFORNIA, SAN FRANCISCO, AND THE UNIVERSITY OF FLORIDA TO EXTEND OUR EXPERTISE AND OUR CAPACITY. WE HAVE ALSO RECRUITED 37 PARTNERS TO JOIN IN A NATIONAL NETWORK TO CONNECT PATIENTS, CAREGIVERS, AND RESEARCHERS - ALL AIMED AT DEVELOPING, CONDUCTING, AND DISSEMINATING PATIENT-CENTERED DEMENTIA RESEARCH USING STATE-OF-THE-ART APPROACHES, INCLUDING MOBILE AND ONLINE TOOLS.- LAUNCHING THE GLOBAL ALZHEIMER'S PLATFORM (GAP), TO BUILD THE FIRST-EVER GLOBAL TRIAL-READY PLATFORM FOR ALZHEIMER'S DRUG DEVELOPMENT. THIS INITIATIVE WILL REDUCE THE TIME, COST AND RISK OF GETTING INNOVATIVE MEDICINES TO PERSONS WITH OR AT RISK FOR DEMENTIA. GAP HAS, TO DATE, OBTAINED FIRM COMMITMENTS OF $22.8 MILLION FROM NINE PHARMACEUTICAL COMPANIES AND TWO FOUNDATIONS TO CONTRIBUTE TO THIS PROJECT AND TO JOIN A CONSORTIUM TO HELP IN ADVANCING THIS WORK. ADDITIONALLY, WE ARE CONDUCTING ONGOING FUNDRAISING CONVERSATIONS WITH SEVERAL OTHER POTENTIAL FUNDERS, INCLUDING MAJOR HEALTH INSURERS, FOUNDATIONS, AND INTERNATIONAL ORGANIZATIONS. WE ARE ALSO SEEKING $25 MILLION IN FUNDING FROM THE NATIONAL INSTITUTES OF HEALTH AS WELL AS THEIR AGREEMENT TO JOIN WHAT WOULD BE A PUBLIC-PRIVATE CONSORTIUM TO EXECUTE THIS PROJECT. IN TOTAL, WE ARE SEEKING $70 MILLION IN FUNDING OVER THE FIVE-YEAR PERIOD IT WILL TAKE TO BUILD THIS PLATFORM.- USING BIG DATA TO SPEED PROGRESS TOWARD A CURE. USAGAINSTALZHEIMER'S INDUSTRY COALITION - CALLED THE GLOBAL CEO INITIATIVE ON ALZHEIMER'S DISEASE (CEOI) - LAUNCHED THE "BIG DATA RESEARCH INITIATIVE TO FIGHT ALZHEIMER'S DISEASE," TARGETED AT DRAWING TOGETHER STAKEHOLDERS FROM INDUSTRY, ACADEMIA AND GOVERNMENT AGENCIES TO ACCELERATE THE PACE OF ALZHEIMER'S RESEARCH FOR TREATMENTS AND CARE.
