Governance Explanations

Form 990, Part VI, Section A, line 1

The governing documents allow for an Executive Committee. The Executive Committee of the Board of Trustees shall consist of the Chair, Vice-Chair, Secretary, and Treasurer, and no person shall hold more than one of said offices at a time. The Executive Committee shall act only in the interval between meetings of the board and shall be at all times subject to control and direction of the board in management of corporate business. The board may also appoint such other working committees as they deem proper and necessary for the day-to-day operation of the corporation.

Form 990, Part VI, Section A, line 2

The CEO and CFO both have a business relationship with each other and all of the Board Members, as the CEO and CFO are employed by another related nonprofit of which the board members serve as well. The Board serves all of the related organizations listed on Schedule R.

Form 990, Part VI, Section A, line 6

The Corporation shall have as members, congregations in the Fargo conference and adjoining conferences of the Evangelical Lutheran Church in America.

Form 990, Part VI, Section A, line 7A

Each congregation may designate from its congregation two voting delegates for the first one thousand active confirmed members in such congregation, with one additional voting delegate for each additional thousand active confirmed members in the congregation. In addition, each pastor of each participating congregation shall be a voting delegate by virtue of his office.

Board officers and directors, as well as officers of the organization, complete a conflict of interest questionnaire on an annual basis. The Board reviews the conflicts to determine if a conflict exists. The individual with the conflict is required to abstain from voting if the conflict comes up in a board meeting where a decision needs to be made. This is a standing agenda item at each board meeting.

Compensation for the CEO is paid by a related organization. That Organization has a process for determining compensation that includes review by the independent board using comparability data and substantiation of the deliberation and decision. Bethany Retirement Living is a North Dakota nonprofit corporations located in Fargo, North Dakota and has been recognized by the Internal Revenue Service as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purpose. The organization has determined they are not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. Bethany Retirement Living believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. Bethany Retirement Living would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
