The Finance Director reviews the Form 990, after which time it will be reviewed by all board members at a board meeting prior to being filed.

Form 990, Part VI, Section B, line 12C

The organization adopted a conflict of interest policy in August 2009. All directors are covered by the policy. Annually, directors review the policy. Directors are responsible for both determining and reviewing if they have a conflict with an issue before the board. If a situation presents itself where a director has a conflict, they must declare it and are excused from the room until discussion and voting is completed on the issue.

Form 990, Part VI, Section B, line 15

The Open Door Center Board used a review and approval by independent persons, comparability data, and contemporaneously records the deliberation and decision in the board minutes in determining the compensation paid to the Finance Director and Executive Director. The board approves all state recommended raises on an annual basis and reviews Executive Director's compensation periodically to review if it is in alignment with other similar organizations. The process was last undertaken in 2019.

Additional Explanations

Budget, Retirement and Audits

All reporting documents have been submitted to the State. Staff have received increased retirement contribution funds and incentives. Audit reports have unqualified opinions. We have a new payment system in place and the Center has maintained a sound financial standing. A part time staff was hired to oversee the documentation for the training categories. The endowment fund continues to grow. Donation funds have been used to meet our mission through upgrading bathrooms, purchasing furniture, equipment, etc. Open Door Center participated in Giving Hearts Day and was the recipient of $17,000. COMMITTEES The Human Rights Committee meets quarterly and reviews medications, behavior programming and rights restrictions. Positive Behavior Supports provides training, in-services, awareness apparel and recognition of staff. This Committee is now meeting again. Communication Committee was established because of our CQL survey. They meet regularly and have adopted communication books, a new activity board and encouraged communication among staff. They are re-organizing to better reach their audience. The Staff Appreciation Committee has given years-of service awards, birthday recognition and provided coupons to recognize a job well done. The Committee also organized a t-shirt give away and other gifts to recognize the work of the DSPs. The Board of Directors meets monthly. They have established a new building committee and succession planning group. SURVEYS The center has had successful Intermediate Care Facility, Home and Community Based Services and Source America surveys. The agency continues with Council on Quality and Leadership accreditation. The Center complies with all Valley City fire and building inspections. HCBS environmental scan had no deficiencies in Lisbon and Valley City. TECHNOLOGY The Center has adopted new software and is in the process of purchasing additional programs for Human Resources. Agency personnel continue to work with our consultant, Corporate Technology, and a local resource for maintenance of our computers, researching and accessing new programs and hardware and upgrading technology services for staff and individuals. The Center upgraded its Web Site. BOARD OF DIRECTORS William Cook, Steven Myers and Carol Nelson were re-elected to their respective offices. Dr. James Buhr was elected to fill Randy Schlecht's board seat.

Financial Statement Notes

Part IV, Line 2B:

The Corporation acts as custodian for the funds of the residents. These funds are included in cash and resident trust payables in the financial statements. Resident trust funds totaled $314,621 and $315,780 at June 30, 2021 and 2020.

Part V, Line 4:

The endowment fund is intended to further the purposes of the Open Door Center. The Open Door Center exists to provide excellent services to people with disabilities.

Part X, Line 2:

The Center believes that they have appropriate support for any tax positions taken affecting their annual filing requirements, and as such, do not have any uncertain tax positions that are material to the consolidated financial statements. The Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0AGENCY PICNIC: The Annual picnic was cancelled due to Covid, but one is planned for August 2021.STAFF RECOGNITION: Staff Appreciation was held via a drive thru treats and eats. Also thank yous were also delivered to staff. New t-shirts were provided for all staff wishing to have one.STAFF DONATIONS: The staff raised money for various needs in the community and the Center.COMMUNITY INVOLVEMENT:Some staff and individuals rang the Salvation Army Bell for Christmas. Day Activity made toys for the Sheyenne Valley Friends of Animals.Work Activity Center sponsored fund raisers for the Red Cross and Salvation Army.The Center also donated to United Way and other fundraisers in the Community including help with Special Olympics events and competitions. Staff volunteered their time. The Center is sponsoring their own Bocce Tournament and continues to hold practice for other SO competitions, but it is only local. However, many enjoy the opportunity to be active. One individual was nominated to be an ambassador Special Olympics. The Center participated in Winter Show events, helped pick up streets, delivered meals on wheels, made kits for the Abused Person's Outreach Center and the Humane Society. The Center created buttons for the awareness walk for child abuse. Individuals fold the newsletter for the local Eagles Organization and volunteer at the Chamber of Commerce. Many people attend church and assist with various church activities. The Children's Program waters the flowers on the city streets and assists with clean up at the City Golf Course. A The Center has been active in On-the-Move by providing personal and financial resources for this physical fitness opportunity for staff, individuals, and the community. A staff and a person helped lead Walk Away the Pounds for On-the Move.Many individuals belong to the new Wellness Center and B-fit for exercising. LISBON PROGRAM The Program continues to volunteer at Parkside Nursing Home, Lisbon Hospital Swing Bed, water flowers for the city, street pick up and promoting the local theater. They participate in the parade, deliver meals on wheels, and help with church activities. and several other city activities. The Thrift Store is providing jobs for people and 2 have learned how to run the cash register and provide customer service. Many Lisbon High School students with special needs receive vocational training from the Lisbon Thrift Store. Many donations have been given and delivered to the Lisbon Thrift store. The Lisbon Thrift store is providing a shopping store for the citizens of Lisbon who have experience several closings due to the pandemic. PROPERTY IMPROVEMENTSThe Ranch installed new flooring and purchased new furniture for the living room. The roof was fixed and the crawl space repaired. The garden was tilled, and the Ranch is sharing their large garden plot with others. The Group Home 2 and Group Home 4 had their bathrooms updated.Group Home 5 received all new flooring, several bedrooms were painted, and the bathroom was renovated. Several vehicles were purchased fir ISLA. All vehicles were installed with computer monitoring chips that report dangerous driving to provide additional safety measures. Several new computers were purchased to replace outdated ones and several phones were updated.TRAINING Staff Training for HIPPA, CPR, First Aid, Infection Control and Abuse, Neglect and Exploitation, Medication Administration, etc.., is offered on a continual basis to meet the mandated training requirements. Most of the training is provided through ZOOM. Non-Violent Crisis Intervention is offered to all staff, but the holds and other physical moves are discussed but not practiced due to Covid. Dr. Gulkin, clinical psychologist, offers counseling to several individuals as well as consultation with staff twice a month. He also provided an in-service on the subject of "Power Struggles".
