The Finance Director reviews the Form 990, after which time it will be reviewed by all board members at a board meeting prior to being filed.

Form 990, Part VI, Section B, line 12C

The organization adopted a conflict of interest policy in August 2009. All directors are covered by the policy. Annually, directors review the policy. Directors are responsible for both determining and reviewing if they have a conflict with an issue before the board. If a situation presents itself where a director has a conflict, they must declare it and are excused from the room until discussion and voting is completed on the issue.

Form 990, Part VI, Section B, line 15

The Board used a review and approval by independent persons, comparability data, and contemporaneously records the deliberation and decision in the board minutes. The board approves all state recommended raises on an annual basis and reviews Executive Director's compensation periodically to review if it is in alignment with other similar organizations. The process was last undertaken in 2012. The Executive Director received the same raise as all other staff in May of 2015. Other officer's salaries are reviewed by the Executive Director based on comparability data. The Executive Director has not received a raise since May of 2015.

We purchased Amberland Foods in November of 2015. It is a similar food production company to Thunderbird Foods and provides additional work opportunities for the individuals that we serve.

Financial Statement Notes

Part IV, Line 2B:

The Corporation acts as custodian for the funds of the residents. These funds are included in cash and resident trust payables in the financial statements. Resident trust funds totaled $280,537 and $253,620 at June 30, 2016 and 2015.

Part V, Line 4:

The endowment fund is intended to further the purposes of the Open Door Center. The Open Door Center exists to provide excellent services to people with disabilities.

Part X, Line 2:

The Center is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Corporation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Corporation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Center believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc01. Events: Held a successful annual picnic at the Pavilion with over 400 friends and family attending. There was a staff Christmas Party held in January. We had great turnout for this event. There were snacks and prizes for attendees. Additionally there were years-of-service awards. The Center sponsored several benefits for staff/families with health issues and fire. The Center encourages staff to have fund raisers for Relay for Life, Red Cross, and the United Way. 2. Lisbon Program: The program has grown and they now have 7 individuals in residential services and 9 individuals in day programming. They have been busy with volunteer work with the city flower pots, swing bed and Parkside nursing home. They have individuals working at Subway, the hospital, the school, Fargo Assembly and other janitorial areas. They also participated in Special Olympics bowling, basketball and track and field. They have taken field trips to Wahpeton, Fargo, Winter Show and various other cities in North Dakota. They again sponsored a 4-wheel run. They also participated in the city-wide rummage sale and received a monetary donation for their work. 3. Property Improvements: The Ranch renovation has been completed and looks very good. The furnaces were replaced this year. The barn roof has been completed and repaired from the storms. The Prairie Inn received several new windows and the AVT received new carpeting. Group Home Two is constructing a new attached garage and Group homes received new appliances as needed. Group Home 3 installed new counter tops, new phones and new trees. The east Arc Duplex is renovated with individuals moving in June 15, 2015. The west duplex is undergoing renovation. 4. Training: HIPAA, CPR and First Aid are offered on a continual basis as mandated training. Also provided is information on abuse, neglect and exploitation and infection control. CPI (Therapeutic Intervention) is offered to all staff. These are all in addition to the regular module requirements. Also offered are the QDD modules in-house training provided by professionals and outside training in areas of need. Dr. Fleissner, consulting psychiatrist, has provided several trainings for staff including information on autism, stress relief, putting the P back in Direct Support Professional, medications and other such topics. She continues to provide consultation twice a month. Dr. Gulkin, consulting psychologist visits monthly to complete psychological reviews as well as in-services on such topics as Borderline Personality Disorders. Sharon Buhr, nutritionist, comes monthly for those experiencing problems with weight loss or gain. Great Plains offers repair and assessment for wheelchairs and other mobility devices on a regular basis. First Aid for Mental Health was offered twice for ODC staff and the community. The Center has been active in On-the Move by providing space, financial resources and personnel for physical fitness opportunities for staff, individuals and the community. Many individuals also belong to the Rec Center where they exercise. 5. Agency owned businesses: Eagle's Nest bookstore continues to provide vocational opportunities for individuals who have a brain injury. It sells new and used books and well as gift items. It has been an active participant in Crazy Days, the Holiday Preview, ND Winter Show, Snowball Fling, Fall Festival and NDACP conference. This provides an awareness of Open Door Center services and the bookstore. Several new products have been added. Thunderbird Ranch Gourmet Foods offers training and employment in the area of packaging, mixing, crimping and boxing of soups, breads and dips. Thunderbird has added several new products and continues to participate in Pride of Dakota shows and many other events throughout the state. The Lisbon Thrift Store is having a good year with the largest profit yet. They have also donated clothes, furniture and household items to people in need. 6. Work: The Center continues with Thunderbird Ranch
