The organization has an Executive Committee comprised of the President, Vice-President, and Secretary-Treasurer. This committee does not have the authority to act on behalf of the full board of directors.

The Finance Director reviews the Form 990, after which time it will be reviewed by all board members at a board meeting prior to being filed.

Form 990, Part VI, Section B, line 12C

The organization adopted a conflict of interest policy in August 2009. All directors are covered by the policy. Annually, directors review the policy. Directors are responsible for both determining and reviewing if they have a conflict with an issue before the board. If a situation presents itself where a director has a conflict, they must declare it and are excused from the room until discussion and voting is completed on the issue.

Form 990, Part VI, Section B, line 15

The Board used a review and approval by independent persons, comparability data, and contemporaneously records the deliberation and decision in the board minutes. The board approves all state recommended raises on an annual basis and reviews Executive Director's compensation periodically to review if it is in alignment with other similar organizations. The process was last undertaken in 2012. The Executive Director received the same raise as all other staff in May of 2015. Other officer's salaries are reviewed by the Executive Director based on comparability data. Everyone received raises (actually 3) in this past fiscal year. The Executive Director received the same raise as the rest of the staff. First raise was a 5% in July, then we gave $1.00 per hour in November and last we gave a 2% raise in May of 2019. Up to that point, the Executive Director had not received a raise since 2015.

Additional Explanations

Other Activities

The Self-Advocacy Group meets regularly. Last fall they sponsored a forum on disabilities for local citizens. They also sell bake goods at various functions to raise funds. Several residents of the Ranch attend a support group in Fargo, go on trips and assist with running the Eagles Nest Bookstore. They also provided information on brain injury at the State Eagle's Convention, the CRE Palm Sunday Service and Rotary. Several individuals attend local churches and provide cookies and bars for the coffee hour. Many individuals attend Bison games, cheer on VCSU, and participate in a sports-coop with VCSU volleyball program. Others attend the high school activities and two individuals sing in the school choir. Another individual is a band member, marches in parades, participates in track and attends confirmation. BUDGET, RETIREMENT AND AUDITS All required financial reports have been submitted to the State. Staff have received increased PTO amounts and incentives. Audit reports have unqualified opinions. The new payment system has been implemented and the Center continues to have good financial standing. The Permanent Endowment Fund continues to grow. Donation funds have been used to meet our mission through Ranch, GH1 and GH3 improvements, and purchasing furniture, equipment, etc. Open Door Center participated in Giving Hearts Day and was the recipient of $9,655 that was used to purchase equipment for programing. COMMITTEES The Human Rights Committee meets quarterly and reviews medications, behavior programming and rights restrictions. Positive Behavior Supports provides training, in-services, awareness apparel and recognition of staff. Communication Committee was established from CQL survey. They meet regularly and have adopted communication books, a new activity board and encouraged communication among staff. The Staff Appreciation Committee has given years-of service awards, birthday recognition and provided coupons to recognize a job well done. The Committee also organized the staff appreciation dinner. The Board of Directors meets monthly. SURVEYS The center has had successful Intermediate Care Facility, Home and Community Based Services and Source America surveys. The agency continues with Council on Quality and Leadership accreditation. The Center received recognition for a 4-year accreditation with distinction. The Center complies with all Valley City fire and building inspections. HCBS environmental scan had no deficiencies. TECHNOLOGY The Center has adopted new software and is in the process of purchasing additional programs for Human Resources. Agency personnel continue to work with our consultant, Corporate Technology, and a local resource for maintenance of our computers, researching and accessing new programs and hardware and upgrading technology services for staff and individuals. The Center is upgrading its Web Site. BOARD OF DIRECTORS William Cook, Steven Myers and Carol Nelson were re-elected to their respective offices. Randy Schlecht was elected to the Board of Directors replacing John Hill, a long-time board member.

Financial Statement Notes

Part IV, Line 2B:

The Corporation acts as custodian for the funds of the residents. These funds are included in cash and resident trust payables in the financial statements. Resident trust funds totaled $315,780 and $244,146 at June 30, 2020 and 2019.

Part V, Line 4:

The endowment fund is intended to further the purposes of the Open Door Center. The Open Door Center exists to provide excellent services to people with disabilities.

Part X, Line 2:

The Center believes that they have appropriate support for any tax positions taken affecting their annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0EVENTS AGENCY PICNIC: On a beautiful August day, Open Door Center held a successful annual picnic at the Pavilion with several hundred people in attendance including individuals, staff, family and friends. STAFF RECOGNITION: A staff appreciation party was held at the Country Club. Staff were served a delicious buffet supper, received door prizes and years of service awards. BENEFITS: The Center sponsored several benefits for staff and families with health issues. OPEN HOUSE: Open Houses were held at Thunderbird/Amberland Foods and Eagle's Nest bookstore.The Open Door Center choir sang at many events during the holiday season.COMMUNITY WORK:The Day Activity Center rang the Salvation Army Bell for Christmas. Work Activity Center sponsored fund raisers for the Red Cross and Salvation Army. The Center also donated to United Way and other fundraisers in the Community including help with Special Olympics events and competitions. One person was named North Dakota Special Olympics Woman Athelete of the Year and Cindy Schopper was selected for Special Olympics North American Coach of the Year. Many staff volunteer their time to coach various teams.The Center participated in Winter Show events, helped pick up streets, delivered meals on wheels, made kits for the Abused Person's Center and the Humane Society.The Center created buttons for the awareness walk for child abuse. They fold the newsletter for the local Eagles Organization and volunteer at the Chamber of Commerce. Many people attend church and assist with various church activities. The Children's Program waters the flowers on the city streets and assists with clean up at the City Golf Course. A staff and a person helped lead Walk-Away the Pounds for On-the-Move.LISBON PROGRAM The Program continues to volunteer at Parkside Nursing Home, Lisbon Hospital Swing Bed, water flowers for the City, street pick up and promoting the local theater. They participate in the parade, deliver meals on wheels and help with church activities. and several other city activities. The Thrift Store is providing jobs for people and two individuals have learned how to run the cash register and provide customer service.Many Lisbon High School students with special needs receive vocational training from the Lisbon Thrift Store.PROPERTY IMPROVEMENTSThe Ranch installed new flooring and purchased new furniture for the living room. The roof was re-shingled and the basement crawl space repaired. The garden was tilled and the Ranch is sharing their large garden plot with others. Group Home 5 received all new flooring, several bedrooms were painted and the bathroom was renovated. A new moveable storage building was purchased and is located near Group Home 1 to provide space for receiving donated items for the Lisbon Thrift Store. Amberland and Thunderbird received new storage racks. New mixers were ordered. New products including a key lime mix, blueberry pie mix, bourbon based bar-b-que sauce, and several others were developed. Several new vehicles were purchased. All vehicles have been installed with chips that provide data on how drivers are operating the vehicles for an additional safety measure. Several new computers were purchased to replace outdated ones. The new computers are capable of securely connecting to the ODC server when staff are working from home.TRAINING HIPPA, CPR, First Aid, Infection Control and Abuse, Neglect and Exploitation, Medication Administration are offered on a continual basis as mandated training. Fire Safety training was held for individuals and staff. Non-Violent Crisis Intervention is offered to all staff. Several staff attended the NDACP annual conference in Bismarck as well as "new payment system" training. The center also offered training from Hospice.Dr. Fleisssner, psychiatrist provided consultation and training for staff.
