The Finance Director reviews the Form 990, after which time it will be reviewed by all board members at a board meeting prior to being filed.

Form 990, Part VI, Section B, line 12C

The organization adopted a conflict of interest policy in August 2009. All directors are covered by the policy. Annually, directors review the policy. Directors are responsible for both determining and reviewing if they have a conflict with an issue before the board. If a situation presents itself where a director has a conflict, they must declare it and are excused from the room until discussion and voting is completed on the issue.

Form 990, Part VI, Section B, line 15

The Board used a review and approval by independent persons, comparability data, and contemporaneously records the deliberation and decision in the board minutes. The board approves all state recommended raises on an annual basis and reviews Executive Director's compensation periodically to review if it is in alignment with other similar organizations. The process was last undertaken in 2012. The Executive Director received the same raise as all other staff in May of 2015. Other officer's salaries are reviewed by the Executive Director based on comparability data. The Executive Director has not received a raise since May of 2015.

Additional Explanations

Form 990, Part III, line 3

Open Door Center operated a program for individuals with mental illness for many years. We called the program the Independent Living Program. That program was discontinued as of September 30, 2017 although some of the individuals we served continue to live in housing that we provide. Open Door Center built a new building in Lisbon, ND in order to increase the size of the day programming area that serves individuals with disabilities and to increase the size of the Thrift Store that we operate which provides work opportunities for those same individuals. We sold the much smaller building in April 2018.

Financial Statement Notes

Part IV, Line 2B:

The Corporation acts as custodian for the funds of the residents. These funds are included in cash and resident trust payables in the financial statements. Resident trust funds totaled $267,329 and $249,093 at June 30, 2018 and 2017.

Part V, Line 4:

The endowment fund is intended to further the purposes of the Open Door Center. The Open Door Center exists to provide excellent services to people with disabilities.

Part X, Line 2:

The Center is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Corporation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Corporation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Center believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0ACCOMPLISHMENTS FOR FISCAL YEAR 2017-181. Lisbon Program: Construction of a new building that houses Day Supports and a Thrift Store was completed in November. An open house was held in January. It is a large, attractive nice addition to the Lisbon Community. It provides the community and people we serve with a great environment for shopping and employment. Grants from Bremer Bank and the Star Committee assisted with this project. Additional funds came from the sale of the old building. Individuals are working at the Thrift Store in areas of customer service, sorting, hanging and arranging items as well as cleaning the store. Additionally, the individuals also work at the high school, the hospital and Saxerude with the assistance of a job coach. Many also volunteer at Parkside, watering city flower pots, the theater, and other area non-profits.The Lisbon program continues to provide transitional services for three high school students in cooperation with the Special Education District. 2. WAC Building. The Work Activity building was renovated to accommodate a new work project that offers additional employment, training and skill development for people we serve. Colorado Jack Popcorn is the new work project. The Arc provided a $70,000 grant toward the cost of this remodeling project. Popcorn, in 5 different flavors, is being made and shipped to various customers in the region. 3. CQL Accreditation: The national accreditation progress review in February was accepted, and so our accreditation continues. 4. Health Facilities: Health Facility Surveys went well. All homes were re-certified and received 2 deficiencies or less. A letter of commendation from the DD Division was sent to us for the survey results. 5. Life Safety Codes: All buildings passed the Life Safety Code surveys for fire protection.6. REAC: The Prairie Inn had a physical survey by HUD of the premises with a successful result and no follow up required.7. Committee Work: Behavior Supports Committee provided appreciation events for DSP week. The Committee also arranged for a staff appreciation party and recognition of years of service. The Safety Committee conducted safety surveys every quarter. The Rights Committee met every quarter reviewing medication and programs to assure the protection of rights for individuals served by the Center. The Open Door Center Board of Directors met monthly reviewing financial and other agency information.8. HI Soaring Eagle Ranch: The Ranch assisted with the ND Head Injury Conference and several staff and individuals attended. Two bathrooms were renovated at the premises. The Ranch underwent a Basic Care Health and Safety survey and did very well. The Ranch received donations from the Eagle's Aeries and Auxiliaries at the State Convention. Residents continue to work at the Eagle's Nest Bookstore, a vocational training opportunity for them. The store participated in the NDACP Conference, Crazy Days, Fall Roundup, Holiday Showcase and provided many donations to help meet the needs of local causes. Residents also work at Thunderbird, High School Activity Association and volunteered at the National Guard Armory. Brick and roof repairs were completed at the Bookstore. Two individuals participated in the CRE Palm Sunday Service in Litchville, ND.9. SourceAmerica (NISH) personnel visited the Open Door Center providing input regarding product flow for the new work project, Colorado Jack Popcorn. Mark Satterfield reviewed projects. The SourceAmerica compliance review went well with only one deficiency. 10. Annual Picnic served 300 friends and families at the Pavilion at Chautauqua Park in Valley City. 11. Policy and Procedure Manual was updated to meet regulations and standards.12. Technology: IT was upgraded to provide the necessary environment for optimum work of the agency and staff. New routers were put in place to maintain cyber security and protect sensitive information.13. Self Advocacy Group: Staff assisted individuals in re-starting t
