Governance Explanations

Form 990, Part VI, Section A, line 1

The organization has an Executive Committee comprised of the President, Vice-President, and Secretary-Treasurer. This committee does not have the authority to act on behalf of the full board of directors.

Form 990, Part VI, Section A, line 8B

There are no committees with authority to act on behalf of the full board of directors.

Form 990, Part VI, Section B, line 11

The Finance Director reviews the Form 990, after which time it will be reviewed by all board members at a board meeting prior to being filed.

Form 990, Part VI, Section B, line 12C

The organization adopted a conflict of interest policy in August 2009. All directors are covered by the policy. Annually, directors review the policy. Directors are responsible for both determining and reviewing if they have a conflict with an issue before the board. If a situation presents itself where a director has a conflict, they must declare it and are excused from the room until discussion and voting is completed on the issue.

Form 990, Part VI, Section B, line 15

The Board used a review and approval by independent persons, comparability data, and contemporaneously records the deliberation and decision in the board minutes. The board approves all state recommended raises on an annual basis and reviews Executive Director's compensation periodically to review if it is in alignment with other similar organizations. The process was last undertaken in 2012. The Executive Director received the same raise as all other staff in May of 2015. Other officer's salaries are reviewed by the Executive Director based on comparability data.

Form 990, Part VI, Section C, line 19

Governing documents, conflict of interest policy, and financial statements are available to the general public upon request.

Additional Explanations

Form 990, Part III, Program A:

(continued from previous page) 14. Board of Directors: William Cook, Steven Myers and Carol Nelson were elected as officers of the Board of Directors and reelected to the Board. Diane Kohn was also reelected for a 3-year term.

Financial Statement Notes

Part IV, Line 2B:

The Corporation acts as custodian for the funds of the residents. These funds are included in cash and resident trust payables in the financial statements. Resident trust funds totaled $253,620 and $267,052 at June 30, 2015 and 2014.

Part V, Line 4:

The endowment fund is intended to further the purposes of the Open Door Center. The Open Door Center exists to provide excellent services to people with disabilities.

Part X, Line 2:

The Center is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Corporation is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Corporation is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Center believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

Part XI, Line 2D - Other Adjustments:

Related organization revenue included in consolidated financial statements 57,309.

Part XI, Line 4B - Other Adjustments:

Sales expenses included in expenses on financial statements -201,620. Expenses associated with amounts held on behalf of residents for trips -62,499.

Part XII, Line 2D - Other Adjustments:

Related organization expenses included in consolidated financial statements 88,988. Sales expenses included in revenue on Form 990 201,620. Expenses associated with amounts held on behalf of residents for trips 62,499.
