The CFO with the assistance of President/CEO prepares the Form 990. A draft of the Form 990 and all applicable schedules are sent to the Board of Directors for review prior to a meeting held in November. The CFO explains any changes, specifically reviews Part VI with the Board of Directors, inquires if any of their family members are employed or has done business with Valley Homes and Services, and answers any questions. The Form 990 is e-filed.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is stated in Article 8 of the bylaws. It is reviewed with the Board of Directors at board orientation and Directors are requested to sign the form annually.

Form 990, Part VI, Section B, Line 15

The President/CEO's compensation is determined as follows: The compensation committee reviews the ND Long Term Care Association's state compensation survey each year to assess how Valley Senior Living's CEO's salary compares with others of similar size and function. In addition, the committee may refer to salaries reported in other like sized non-profit facilities' Form 990. The salary survey provides a gauge when it considers change to base compensation. The committee also reviews the organization performance and strategic plan goals to develop an incentive compensation plan in additional to base salary. Compensation for the executive management team includes a performance appraisal completed by the President/CEO or their direct supervisor. Employees are eligible for annual inflationary increase to their base salary. The percentage is based upon the approved annual budget or other board approved increases. The ND Long Term Care Association's salary survey is also reviewed and adjustments are made to the base salary if the survey demonstrated underpayment compared to like sized operations. The Executive Management team members may also be eligible to receive incentive compensation based upon goals established by the President/CEO.
