“FORM 990, PART VI, SECTION A, LINE 3 Ozarks Methodist Manor has retained Life Care Services LLC ("Life Care Services"), specialists in continuing care headquartered in Des Moines, Iowa, to manage The Manor. Although the Board of Directors has contracted day-to-day management of The Manor to Life Care Services LLC, the Board of Directors retains overall responsibility for the management of The Manor. In this regard, some of the Board's primary functions involve oversight of the performance of Life Care Services LLC pursuant to the management agreement, review and approval of operating budgets and capital expenditures, and monitoring of financial condition. Operational policies for The Manor and residency policy criteria for prospective residents are subject to approval and periodic review by the Board. The Board also adopts and approves personnel policies for facility employees, annually reviews the insurance coverages on The Manor's property and personnel, and contracts for and supervises the provision of legal and accounting services to The Manor. The Board approves and monitors all building and expansion programs. The Board defines the fundamental policies and the short and long range goals of The Manor. Mr. Ben Bryant became the Executive Director/Administrator of The Manor in December 2013. In accordance with the management agreement with Life Care Services, Mr. Bryant is an employee of Life Care Services.”

The form 990 is reviewed at a board meeting prior to filing.”

“Form 990, part vi, section b, line 12c the organization has a conflict of interest policy which covers all directors, who must sign the certificate relating to the policy annually. Upon notification of potential conflict of interest, and before any action upon a contract or transaction that could involve the potential conflict of interest, a vote of a majority of the disinterested directors participating in the meeting and constituting a quorum will approve the contract or transaction. The interested director will abstain from the meeting while the contract or transaction is discussed and acted upon.”
