“The Organization has Members who pay an annual membership fee.”

“The Board of Trustees is elected by the Membership.”

“The tax return is prepared by the CPA firm that performed the financial review of the organizations books and records. A draft of the return is reviewed by the Executive Director and financial managment personnel. Once all questions are resolved, the tax return is provided to the board members for their review-approval prior to filing.”

“Annually, each Member of the Board of Trustees, staff and volunteers receives a copy of the Conflict on Interest Policy. Each persons signs the document to indicate that they have read it. Any potential conflicts of interest are identified thereon by each Trustee. In addition, throughout the year, each Member discloses other organizations of which they are a Member or an employee whenever a conflict of interest is encountered by disclosing the conflict to either the executive director or the President of the Board. The matter is referred to the entire Board of Trustees, where the potential transaction is either approved or not approved by a majority of disinterested trustees.”

“Goals and objectives are developed and the executive directors performance is evaluated based on these criteria by the entire Board. The executive committee uses the results of this evaluation in setting the executive directors compensation.”
