Mission

Independent industries seeks to promote economic self-sufficiency and social integration for people with disabilities or other disadvantages through supported employment, employee development, comprehensive evaluation, and rehabilitation services. It accomplishes this in large part by operating a light manufacturing production facility and day rehabilitation program while also receiving beneficial support services provided by goodwill industries of kentucky, inc.

As indicated previously, all activities of independent industries ceased in july 2015. While the organization is in the wind down process a majority of the responsibilities borne by the organization's board of directors have transferred to the sole member of the corporation, goodwill industries of kentucky, inc. The board however, remains in place through the duration of the wind down period. The draft form 990 return, all attached schedules, and accompanying explanation sheets are presented to goodwill industries' audit committee and the goodwill industries board for review and approval.

Annually, independent industries, inc. Officers and directors are asked to complete a questionnaire which defines and describes the company's conflicts of interest policy and asks if there were business transactions that have occurred or personal relationships which cause a conflict. There is also an anonymous tip line that can be used for persons to report suspected conflicts that would violate company policy.

Form 990, Part VI, Section B, Line 15

A compensation committee of the goodwill industries of kentucky (related organization) board of directors reviewed the contract for the goodwill industries of kentucky president/ceo as well as the salaries for vice presidents. The committee engaged an outside counsel for the contract, supplemental retirement benefit, and salary review. The committee reviewed comparative data provided by outside counsel. The committee brought its recommendations to the executive committee of the board for review and approval. The vice presidents and independent industries, inc.'s president (other officers) compensation was also reviewed by the president/ceo. He reviewed outside counsel data and utilized a regression that projected median compensation for goodwill executives. (comparison of goodwill executive compensation was obtained from goodwill international member services). The recommended salaries were presented to the compensation committee.

In an effort to make its financial statements available to the public, independent industries, inc. Places each year's 990 tax return and annual report on its affiliate company's (goodwill industries of kentucky's) website. The annual report is also broadly distributed in communities in which the company operates. Governing documents and the conflict of interest policy are provided to those who request them.

Independent industries, inc. Is a part of goodwill industries of kentucky inc.'s consolidated financial statements. The audit is reviewed and approved by the administrative office staff and then presented to the goodwill industries of kentucky audit committee for full review and acceptance. The audit committee reports to the goodwill industries of kentucky board of directors the results of the audit and the board accepts the final audit. The selection of the independent accounting firm is conducted through the goodwill industries of kentucky audit committee.

Independent industries, inc. Is exempt from income taxes under the provisions of section 501(c)(3) of the internal revenue code ("irc"). Goodwill recognizes uncertain income tax positions using the "more-likely-than-not" approach as defined in the asc. No liability for uncertain tax positions has been recorded in the accompanying consolidated financial statements. Goodwill's 2010 to 2013 tax years remain open and subject to examination.

DURING FY 2015, 20 WERE SERVED BY THESE PROGRAMS. THESE ACHIEVEMENTS WERE ACCOMPLISHED IN PART THANKS TO SUPPORT SERVICES PROVIDED BY GOODWILL INDUSTRIES OF KENTUCKY, INC.
