Governance Explanations

Form 990, Part VI, Section B, Line 11B

Each board member will receive a copy of the form 990 prior to filing. After allowing time for individual review, the board will meet to discuss any questions that may arise. At the conclusion of the call, the foundation president will call for a board vote to approve acceptance of the form 990 as shown. The president or vice president of finance will sign the 990 on behalf of the organization, and it will be filed.

Form 990, Part VI, Section B, Line 12C

Any major contracts for service (audit, direct mail, and others) are reviewed as part of the budget process. The foundation's policies and procedures indicate to annually review contracts for any conflicts. Board members are also required to annually disclose any potential conflicts of interest. These are reviewed and appropriate actions taken as necessary.

Form 990, Part VI, Section B, Line 15A

Annual compensation adjustments are approved by the board. Afp salary survey information was used in 2022 to assure the executive director's compensation was in line with market norms. There are currently no employees described in 15b.

Form 990, Part VI, Section C, Line 19

The foundation will furnish such documents upon reasonable, written request.
