Governance Explanations

Form 990, Part VI, Section B, Line 11

Each board member will receive a copy of the form 990 prior to filing. After allowing time for individual review, the board will hold a telephone conference call to discuss any questions that may arise. At the conclusion of the call, the foundation president will call for a board vote to approve acceptance of the form 990 as shown. The president or treasurer will sign the 990 on behalf of the organization, and it will be filed.

Form 990, Part VI, Section B, Line 12C

Any major contracts for service (audit, direct mail, and others) are reviewed as part of the budget process. The foundation's policies and procedures indicate to annually review contracts for any conflicts. Board members are also required to annually disclose any potential conflicts of interest. These are reviewed and appropriate actions taken as necessary.

Annual compensation adjustments are approved by the board. Afp salary survey information was used in 2011 to assure the executive director's compensation was in line with market norms. There are currently no employees described in 15b.

TODAY, LEADERSHIP PROGRAMMING IS A KEY PART OF THE MEMBERSHIP EXPERIENCE AT ALL LEVELS OF THE ORGANIZATION, FROM UNDERGRADUATE COLLEGIANS TO ALUMNAE OF ALL AGES. EVERY LEADERSHIP PROGRAM OFFERED BY PI BETA PHI FRATERNITY FOR WOMEN IS SUPPORTED IN SOME WAY BY PI BETA PHI FOUNDATION GRANTS. THESE PROGRAMS INCLUDE PI PHI'S TRADEMARKED LEADING WITH VALUES PROGRAMMING, LEADERSHIP ACADEMIES AND CONVENTION, ONLINE LEARNING, AND THE LEADERSHIP DEVELOPMENT CONSULTANT PROGRAM, WHICH LAST YEAR MADE 195 CHAPTER VISITS AND PROVIDED 2,000 INDIVIDUALIZED MENTORING SESSIONS.
