“The organization maintains and monitors the conflict of interests policy per which all board members required to disclose, as needed, interests that could give rise to conflicts. A conflict of interest transaction will be defined as a transaction with the corporation in which a director of the corporation has a material interest. A conflict of interest transaction may be approved by the corporation in advance, by vote of disinterested directors, if the material facts of the transaction and the director's interest are disclosed to the board, and the directors approving the transaction in good faith reasonably believe that the transaction is not unfair to the corporation.”

“The program/personnel committee is responsible for the development of job descriptions for all staff members and for assisting the board president in evaluating the performance of the ceo of the crisis nursery. This committee is actively involved in evaluating the overall performance of the crisis nursery in regards to its staff and for the development and updating of an employee handbook. These activities may include: surveys to assess employee satisfaction, exit interviews with terminating staff members, consulting with the ceo when employee issues need to be addressed, development of standards and policies for staff and for the development of an employee handbook. The program comittee is responsible for evaluating the ceo's compensation whether it is in line with comparable positions in the community on yearly basis. In order to determine this, a survey is made both online and by gathering information on agencies in the not for profit sector in st. Louis city, county, and st. Charles county. Websites, such as us department of labor, bureau of labor statistics, social security online, st. Louis mo-il occupation employment and the not for profit times, are used as well as any other available surveys. Once the information is gathered it is presented to the board of directors for discussion and a compensation package is then determined.”
