“THE BYLAWS WERE AMENDED IN JUNE 2019 FOR THE FOLLOWING: 1. ALL FOUNDATION DIRECTORS SHALL BE MEMBERS OF THE BOARD OF DIRECTORS OF REDISCOVER 2. Committees of the Board may include persons other than Directors or Officers whom the Foundation Board determines have special experience, expertise or other qualifications which would be helpful to the Committee. 3. Meetings for both Board of Directors and Committees of the Board may be held jointly with the Board or Committee meetings of ReDiscover, the sole member. 4. The Finance/Investment Committee shall have the responsibility to oversee the financial management of the Corporation. The Committee shall periodically review the Corporation's insurance coverage and bring recommendations to the Board of Directors. Further, the Finance/Investment Committee shall have the responsibility to recommend investment advisor(s) and investment manager(s) and recommend appropriate investment guidelines for the Corporation, subject to approval by the Board. The Finance/Investment Committee shall regularly review investments made on behalf of the Corporation and its retirement plan to adjust investments and funds to achieve acceptable performance. If the Finance/Investment Committee at any time recommends that the Corporations current external auditing firm or its subsidiary perform investment services or other non-auditing financial services for the Corporation, the hiring of said external auditor and compensation for such services shall be subject to approval by the Audit Committee.”

A report shall be made to the compliance committee concerning the completion of the questionnaires and any interests disclosed therein. Any person with such a conflict abstains from voting on the issue creating the conflict. Such annual monitoring and review shall be part of the corporate compliance plan.”

Through its financial support, the foundation board and staff seek to enhance the health of the community by promoting a continuum of care that is accessible and affordable. Foundation activities benefit the mentally ill and their families by promoting self-esteem, independent living, family stability and improved quality of life. Foundation proceeds in 2019 were used to support community-based mental health and substance use disorder programs. These include: outreach staff to provide services and consultation to school districts in southern jackson county; in-home services for children and families in crisis; services for indigent individuals and families and expansion of substance use disorder treatment options.”
