Governance Explanations

Form 990, Part VI, Line 15A 15B-COMPENSATION OF TOP MANAGEMENT OFFICIALs

The compensation paid to our executive leadership team (including President/CEO, CMO, COO, CFO, CAO and other executive officers identified in Part VII) is reviewed and approved annually by the compensation committee of our board of directors. Our compensation committee is an independent committee comprised solely of individuals who do not have a conflict of interest within the meaning of Internal Revenue Code Section 4958 and the regulations issued thereunder (the "Intermediate Sanction Rules"). Our compensation and benefit program for executives is designed to comply with the Intermediate Sanction Rules. Consistent with that intent, our compensation committee periodically engages an independent third-party compensation consultant to assist in performing a robust, market review of our overall compensation and benefit programs to ensure that they remain competitive and at-market. While our compensation committee does not consult with a third-party compensation consultant every year, our committee routinely reviews benchmarking data (including salary survey reports) published by independent third-parties. This was last done in 2024.

The form 990 is prepared by an independent accounting firm. A draft is reviewed by the ceo, cfo, and general counsel, then is provided to the entire board for approval prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

A conflict-of-interest statement is completed annually by every board member, officer, employee, consultant and vendor. Any duality of interest or possible conflict of interest on any matter shall be disclosed as soon as the conflict is identified. Board members with conflicts are not allowed to participate in the discussion of the matter, vote or use his/her personal influence on the matter and he/she is not counted in determining the existence of a quorum for a board meeting even when permitted by law. The minutes of such board meeting should reflect that a disclosure was made, the abstention from voting, the existence of a quorum and whether the matter was approved. An employee with a conflict shall disclose conflicts to his/her immediate supervisor. The organization regularly and consistently monitors and enforces compliance with the conflict-of-interest policy.
