Governance Explanations

Form 990, Part VI, Section A, Line 1

The board of directors includes only representatives of owner members. The board of directors has overall authority and all directors have voting rights. The executive committee, a sub-set of the full board of directors, has operational authority to take action on behalf of the slccc, i.e. Preliminary approval of the budget, approval of membership applications, staff review, approval of items not specifically in the budget or discretionary guidance. Executive committee actions and activities are reported on at the board of directors meeting. The primary things that the full board votes on are final approval of the budget and election of officers.

Form 990, Part VI, Section A, Line 6

The organization is a not-for-profit corporation with members. Owner members are major owners of facilities who are buyers of contruction services, each owner member selects representatives to serve on the board of directors. Owner members have full voting rights on the board of directors. The board of directors elects members of the executive committee to act on their behalf, subject to review by the board. The organization also has associate members. Associate members are contractors, design professionals, consultants and others who provide services to construction consumers. Associate members do not have voting rights on the board of directors. They do, however, have voting rights on committees which report to the executive committee and the board of directors.

The board shall conduct the business, property and affairs of the organization. The board shall elect all officers of the organization, who shall serve on the executive committee which shall be empowered by the board to carry on the official business of the organization. The executive committee shall be responsible for the daily operations of the organization and provide the supervision for the president and other organization staff.
