Governance Explanations

FORM 990, PART VI, SECTION B, LINE 11B

An independent accounting firm prepares the 990 after the completion of the financial audit and the 990 workpapers are completed by the vp of finance and operations. The 990 draft is then reviewed by the organization's operations committee and any changes requested are made by the accounting firm. The 990 draft is then provided to all governing board members (either at the next scheduled board meeting or included in the board packet mailing) with a response time for questions and/or comments. Discussion takes place at the actual board meeting, issues are taken to the accounting firm for resolution and the final 990 is provided to the board prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

The clinic's conflict of interest policy states that employees, board members and volunteers should avoid any activity, investment, or interest that may reflect unfavorably on the reputation of the clinic. Employees, board members and volunteers are expected to seek clarification of, and discuss, any questions about potential conflicts of interest with their supervisor, or another clinic manager or director. The conflict of interest policy is included in the employee, board member and volunteer handbooks. Annual surveys are completed by the clinic officers, directors, and key employees to update any conflicts of interest. If a conflict arises, the officer, director, or key employee abstains from the vote on the conflicted position to make sure all contracts and agreements are kept relationship-free regarding negotiations and communication.

Form 990, Part VI, Section B, Lines 15A & B

The ceo receives job performance review and compensation assessment annually by the executive board which recommends to the board of directors for official vote. In addition, the ceo is responsible for the annual performance review of all the vice-presidents of the organization. In the performance review, merit increase is computed based on performance of the review. The vice presidents and managers will also provide annual performance reviews of all staff with merit increase computed based on performance of the review. In addition, the vice president of human resources will perform a comprehensive review of all positions, job descriptions and duties, and do a comparative rate study to the job market. Based on that study, the ceo and president could/might make proper market adjustments.

Schedule D, Part V, Line 4

The polsky endowment was established in 2010 with an initial gift of $50,000 from the norman and elaine polsky family supporting foundation and a matching contribution from the clinic of $50,000, both of which are to be held in perpetuity, as required by the endowment agreement (the "agreement"). The agreement specifies investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs and other items supported by the endowment while seeking to maintain the purchasing power of the endowment. The clinic expects its endowment funds to provide an aggregate rate of return that is consistent with average u.s. Equity security returns. Actual returns in any given year may vary from this amount. To satisfy its long-term rate of return objectives, the clinic relies on a total return strategy in which investment returns are achieved through both current yield (investment income such as dividends and interest) and capital appreciation (both realized and unrealized). The clinic targets a diversified asset allocation that places a greater emphasis on usa diversified equity based mutual funds to achieve its long-term return objectives within prudent risk constraints. The agreement requires all earnings on endowment assets to be accumulated in the fund for an initial five year period and then may be appropriated for expenditure for specific projects or programs as specified in the endowment agreement.

THERE WERE OVER 900 VOLUNTEERS WHO PROVIDED OVER 41,500 HOURS OR $1.257 MILLION OF SERVICE TO THE CLINIC. IN ADDITION, 350 TEACHING AND MEDICAL STUDENTS GAINED 19,638 HOURS OF PRACTICAL EXPERIENCE, EQUIVALENT TO 10 FULL TIME STAFF.
