Mission

Maesp formed for the purpose of representing and supporting elementary school principals employed by public, parochial, and private schools in the state of missouri. Maesp promotes the interest of children and maesp members through legislative support, professional development opportunities, networking, informational publications, and conferences. Maesp is the liaison for members with the missouri department of elementary and secondary education, the education roundtable, and other groups. The membership of maesp is composed of elementary school principals, retired elementary school principals, assistant elementary school principals, and those aspiring to become elementary school principals.

Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

Section 1: Membership shall be of six classes: (1) active members, (2) aspiring principal membership, (3) associate members, (4) honorary members, (5) retired and (6) lifetime retired members. Section 2: Active membership is for any person licensed as an elementary or middle level principal, actively engaged in a supervisory role as principal, assistant principal, administrative intern, or district staff responsible for supervising principals, regardless of title. Section 3: Aspiring principal membership is reserved for teachers or other persons with an interest in entering the profession and/or enrolled in a recognized administrator preparation program, but not serving in an elementary and/or middle school administrative or supervisory capacity. Aspiring principal members shall be eligible for all privileges of MAESP except the right to vote, hold office or receive legal financial support. Section 4: Associate membership is reserved for a licensed non-practicing administrator or post-secondary educator, or a retired principal working in education, but outside an active principalship and those who are not eligible for other types of membership. Associate members will be entitled to all privileges of the Association except the right to vote, hold office or receive legal financial support. Section 5: Retired membership shall be for those administrators of an elementary or middle school, who have officially retired from a public or private school. Retired members shall have all rights and privileges of active members except the right to hold office.

Form 990, Part VI, Line 11B: Form 990 Review Process

Management will review the Form 990 once completed. Management then provides an opportunity for review and approval by the Executive Officers prior to filing. In addition the Executive Officers sign a Conflict of Interest Disclosure Form at each Officer's Meeting held yearly in June.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The executive director of maesp shall recuse him/herself from the maesp officers or executive committee members deliberations regarding any matter in which the director has a confict of interest unless the president of maesp determines that recusal is unnecessary in the particular instance. A staff member shall not be the responsible staff person on a transaction in which he/she has a conflict of interest.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The MAESP Officers make up the Finance and Steering Committee. This committee conducts an annual evaluation of the MAESP Executive Director in June of each year and determines annual compensation of the Executive Director. The MAESP Officers are provided an annual NAESP Affiliate Survey that provides current salary and benefit information from like associations across the nation. In addition, the MAESP Officers review current available compensation amounts for Executive Directors of other Missouri professional organizations such as MASA, MSBA, MASSP, MSTA and MNEA before determining a compensation package.

Financial Statement Notes

Part X : FIN48 Footnote

MAESP is exempt from federal and state income taxes under Section 501(c)(6) of the Internal Revenue Code and application of state law. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, the Association may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of MAESP and various positions related to the potential sources of unrelated business taxable income (UBIT). The Association was not subject to UBIT for the year ended.The Association files form 990 in the U.S. federal jurisdiction. The Association is generally no longer subject to examination by the Internal Revenue Service three years after the form is filed.

IRS990/Desc0Professional Development: The annual MAESP Leadership Conference attracted nearly 500 attendees and offered more than 65 concurrent professional development sessions as well as three general sessions with expert presenters in the areas of leadership, relationships, and instruction. MAESP hosted a two-day workshop for new principals and three one-day workshops for aspiring school leaders. In addition, MAESP organized and hosted a professional development series of trainings over multiple days for principals across the state. Topics included standards-based grading, bully prevention, supporting early career teachers, helping students with reading difficulties and strategies for upgrading your school year. Also, MAESP member principals provided input on many professional committees and task forces which worked for the benefit of children of MO and contributed to increased student achievement.MAESP continued to offer a multiple day conference for school secretaries and support staff from schools and school districts. The Educational Office Professionals Conference supported 175 attendees from across the state. Legal updates, inspirational speakers and practitioner sessions filled the 1 and day conference.Executive Director Michael Schooley continues to serve on the advisory board for the Missouri Leadership Development System (MLDS) that is in its second year of full implementation. The MLDS provides ongoing professional development and support for Missouri principals for the first several years of their career.
