Each regular member in good standing shall hold one vote and shall be entitled to all other benefits of membership. Supplier membership consists of those persons, firms and organizations which are engaged in the manfacture and/or initial distrubution of evaluative and testing equipment, and components and parts of hearing aids or other assistive listening devices on a national basis. Each supplier member in good standing shall hold one vote and shall be entitled to all other benefits of membership. Associate members shall consist of other interested ancillary parties in the hearing aid industry. It is a non-voting class of membership.”

“Director shall be elected at the annual meeting of the members of the corporation. Nominations of persons submitted to the memebers for election as directors, including persons to fill expiring terms or newly created directorships, shall, except as otherwise provided in the bylaws, orginate with the nominatiing committee of the board of directors of the corporation. For elections of directors, ballots shall be provided and there shall not appear any place on such ballot any mark or marking that might indicate the person who casts such ballot. At any meeting of the members for election of directors, in addition to nominations made by the nominatiing committee, any member shall have the right to move a nomination from the general membership.”

“The board off directors, by a vote of two-thirds of those present at any meeting, shall have the power to make rescind, alter, amend or repeal the bylaws; provided, however, the members shall have the power to rescind, alter, amend, or repeal any bylaws so made by the board of directors, and to enact bylaws which if so expressed shall not of intention to move a proposed amendment at any meeting of directors shall be included in the notice of such meeting.”

Prior to december, elizabeth thompson served as a consultant, in which capacity she was paid the compensation reported in part vii.”
