“In late 2016, congress passed the national defense authorization act, which, among other things, changed various provisions of the international broadcasting act. These changes, in turn, required that certain changes be made to the bylaws of middle east broadcasting networks, inc. ("mbn"). All of these changes had to do with the structure of mbn's board of directors and the appointment process and status of mbn's directors and officers. Specifically, the changes: (1) provided authority to the chief executive officer of the broadcasting board of governors to "determine membership" of mbn's board of directors. (2) provided that officers and directors of mbn serve at the pleasure of and may be named by the chief executive officer of the board. Mbn's board of directors approved changes to the mbn's bylaws in march 2017, which conformed the bylaws to these new legislative requirements.”

“Mbn requires that its board members, officers, and employees disclose their involvement in any activity, practice, or conduct that may conflict with or might reasonably appear to conflict with the interests of mbn. The purpose of this policy is to prevent the interests of any board member, officer or employee from interfering with the performance of his or her duties to mbn, and to ensure that there is no personal, professional, or political gain made at the expense of mbn. This policy requires that disclosure of any conflicts of interest and the recusal of any interested party in a decision relating to the conflict. Furthermore, whenever any director, officer, or employee has a conflict of interest or a perceived conflict of interest with mbn, he or she notifies the general counsel of such conflict in writing.”

“The board of directors determines and approves the salary for the president based on a salary survey and comparable data of similarly ranked senior executive service (ses) employees of the federal government. The board documents the determination of the president's compensation. Mbn hires an independent company to analyze compensation and pay bands for all other employees. A global compensation review was completed in july 2017. The review included all positions within the organization.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.”
